上汽集團(600104.SH)：擬將上依投50%股權及上依紅56.96%股權轉讓給上柴股份
格隆匯 1 月 4日丨上汽集團(600104.SH)公佈，公司七屆十六次董事會會議決議，經與會董事認真審議，表決通過了《關於公司以上汽依維柯商用車投資有限公司50%的股權以及上汽依維柯紅巖商用車有限公司56.96%的股權參與上海柴油機股份有限公司發行股份及支付現金購買資產的議案》。
公司控股子公司上海柴油機股份有限公司(“上柴股份”)擬向公司發行股份購買公司持有的上汽依維柯商用車投資有限公司(“上依投”)50%的股權以及上汽依維柯紅巖商用車有限公司(“上依紅”)56.96%的股權、向重慶機電控股(集團)公司發行股份購買其持有的上汽菲亞特紅巖動力總成有限公司10%的股權和上依紅34%的股權、向上依投支付現金購買其持有的上依紅9.04%的股權，並募集配套資金，詳情請見上柴股份相關公吿。上柴股份此次重組後續尚需履行其內部決策程序以及外部相關審核程序。
為進一步推動資源整合，支持上柴股份的發展，同意公司將持有的上依投50%的股權以及上依紅56.96%的股權(以下合稱“標的資產”)轉讓給上柴股份，由上柴股份以發行股份的方式認購。此次資產出售的標的資產的最終交易價格以符合相關法律法規要求的資產評估機構出具的資產評估報吿所載明的，並經有2權國有資產監督管理部門備案的評估值為基礎，由公司與上柴股份協商確定。公司通過本次資產出售認購的上柴股份的股份數量將根據標的資產的交易價格及上柴股份本次重組的股票發行價格確定，最終認購股份數量以中國證券監督管理委員會核准數量為準。
同意公司董事會授權公司經營管理層全權處理本次資產出售所涉的相關事宜，包括但不限於確定、修改本次資產出售的交易方案，簽署、修改、補充、遞交、呈報、執行本次資產出售相關協議及文件，並辦理與本次資產出售相關的一切必要或適宜的申請、報批、登記備案等手續。授權期限自公司董事會批准之日起至本次資產出售相關事宜辦理完畢之日止。
