長園集團(600525.SH)收到長園電子(集團)5333.43萬元股利款
格隆匯1月4日丨長園集團(600525.SH)公佈，公司於2018年2月13日召開的公司第六屆董事會第四十九次會議審議通過了《關於向股東深圳市沃爾核材股份有限公司出售長園電子(集團)有限公司75%股權暨關聯交易的議案》，並經公司2018年第二次臨時股東大會審議通過。根據雙方簽署的《股權轉讓協議》，沃爾核材以人民幣11.925億元受讓長園電子(集團)有限公司(以下簡稱“長園電子(集團)”或標的公司)75%股權，其中應向公司支付股權轉讓款11.13億元，應向公司全資子公司羅寶投資有限公司(以下簡稱“羅寶投資”)支付股權轉讓款7965.90萬元。除股權轉讓款之外，2017年12月31日前標的公司已宣吿但尚未發放的股利約5541萬元，各方均同意標的公司自2017年12月31日起三年內付清該項股利；長園電子(集團)子公司上海長園電子材料有限公司(以下簡稱“上海電子”)及深圳市長園特發科技有限公司(以下簡稱“長園特發”)佔用長園集團本金5500萬元等應及時協商解決。
2019年12月31日，公司收到沃爾核材及其子公司(上海電子及長園特發)支付的相關款項5611.46萬元，其中，上海電子支付所佔用公司資金本金3500萬元，長園特發支付所佔用公司資金本金2000萬元，其餘111.4594萬元為沃爾核材支付款項。
截止2019年12月31日，根據《股權轉讓協議》，沃爾核材(含子公司長園電子(集團))應支付的款項為長園電子(集團)應付公司股利5540.88萬元、沃爾核材應支付的因未按時支付部分股權轉讓款而產生的利息餘額1161.48萬元等(沃爾核材因併購貸款未到賬無法支付全部股權轉讓價款，以未支付的轉讓價款金額、自協議生效之日起120天之後的延遲付款天數，按照同期銀行貸款基準利率上浮30%的標準計算利息)。
2020年12月31日，公司收到長園電子(集團)支付的股利款5333.43萬元，根據匯款摘要，與應收股利5540.88萬元差額207.45萬元為長園電子(集團)扣減的長園特發訴訟案賠償款(長園特發2020年12月29日收到廣東省深圳市中級人民法院民事判決書，案號2019粵03民初3510號，法院就北京市豐台區源頭愛好者環境研究所與長園特發環境污染民事公益訴訟一案作出判決，判決被吿長園特發應於本判決發生法律效力之日起10日內賠償生態環境修復費用及服務功能的損失共計200萬元、支付原吿律師費1萬元及差旅費1萬元等)。
截止公吿日，公司應收沃爾核材因未按時支付部分股權轉讓款而產生的利息餘額1161.48萬元，同時根據股權轉讓協議，雙方需就長園電子(集團)股權轉讓交易相關的各項費用進行友好協商，力爭儘早解決完畢。
