*ST江泉(600212.SH)：擬收購芯火科技100%的股權
格隆匯 1 月 4日丨*ST江泉(600212.SH)公佈，2021年1月4日，公司已與上海庭新信息科技有限公司(“上海庭新”)、上海有銘信息科技有限公司(“上海有銘”)、共青城有巢投資合夥企業(有限合夥)(“共青城有巢”)、安徽勝庫華商貿有限公司(“安徽勝庫”)簽署了《關於收購北京芯火科技有限公司之框架協議書》，收購上海庭新、上海有銘、共青城有巢、安徽勝庫合計持有的芯火科技90%的股權；同日，公司與華平信息技術股份有限公司(“華平股份”)簽署《股權轉讓協議》，收購華平股份持有的芯火科技10%的股權。此次交易完成後公司將直接持有芯火科技100%的股權。
芯火科技是一家專注於金融科技支付領域的軟件技術服務商，通過自主研發的支付行業渠道商管理平台系統、支付行業商家管理平台系統等多項軟件系統，向收單外包服務機構、銀行、商户等支付行業的參與方提供一站式行業解決方案。
公司與支付收單外包服務機構、銀行對接，負責支付接入技術服務、交易系統的開發維護和後續營銷增值服務。截至預案簽署日，服務客户的行業覆蓋了包括零售連鎖、校園、交通客運、政府民生、餐飲娛樂等。
公司業務按服務客户類型分為銀行客户和支付收單外包服務機構。
此次交易，江泉實業通過用非公開發行募集資金直接購買的方式取得標的公司100%的股權，標的資產的初步估值為3.3億元，芯火科技的最終估值將根據江泉實業負責聘請的中介團隊的盡調情況以及資產評估機構出具的評估報吿確定的評估結果確定。
芯火科技以其自主開發的平台軟件系統結合SaaS商業模式，向第三方支付公司、銀行、商户等移動支付行業主要參與方提供技術服務。此次交易前芯火科技與上市公司不屬於同一行業，此次交易為芯火科技與上市公司之間通過資產重組進行的資產與業務轉移。此次交易完成後，上市公司將持有芯火科技100%的股權，上市公司業務範圍將得到拓展，有利於上市公司持續經營能力的提升。
