安潔科技(002635.SZ)：全資子公司簽署資產和股份購買協議
格隆匯 1 月 4日丨安潔科技(002635.SZ)公佈，2020年11月23日，公司子公司適新科技(蘇州)有限公司(“適新科技”)與BroadwayIndustrial Group Limited(“BIGL Industrial”或“交易對方”)簽署《收購Broadway Industrial Group Limited部分資產和子公司的約束性報價》(“《約束性報價》”)，適新科技或其指定關聯方或子公司擬通過現金支付方式收購BIGL Industrial驅動器臂和相關零部件生產業務(“目標業務”)中使用的實質性全部資產，包括BIGL Industrial 持有的鏷偉科技(重慶)有限公司(“重慶鏷偉”)100%股權、鏷偉科技(無錫)有限公司(“無錫鏷偉”)100%股權、BIGL Technologies (Thailand)Co.,Ltd(“泰國鏷偉”)100%股權，以及鏷偉科技(深圳)有限公司(“深圳鏷偉”)從事目標業務中使用的全部財產和資產，但不包括位於深圳市龍崗區坪山街道的由粵(2018)深圳市不動產權第0227103號不動產權證所記載的土地和建築物(“交易標的”)。根據公司前期初步調研結果，適新科技向交易對方提交5000萬美元的約束性報價。
2020年12月31日，公司第四屆董事會第二十次會議審議通過《關於全資子公司簽署<資產和股份購買協議>的議案》。公司通過全資子公司蘇州市格範五金塑膠工業有限公司(“格範五金”)、適新科技與BIGL Industrial、BIGL ASIA PTE. LTD.(“BIGL ASIA”)、深圳鏷偉簽署《資產和股份購買協議》，格範五金收購BIGL ASIA和深圳鏷偉分別直接持有的交易標的，交易價格為5000萬美元的等值人民幣，減去任何價值減損。
交易標的自成立至今一直從事HDD精密零組件業務，是全球較早從事HDD精密零組件製造業務的廠商之一，經過長期的發展與技術積累，目前可以生產HDD所需的關鍵零組件，如：各種硬盤驅動器臂，組裝例如線圈、柔性電路、托架和連接器等相關零組件，也是全球硬盤驅動器臂組件的領先製造商之一。氦氣硬盤技術誕生後，交易標的以其自身技術的積累，成為較早提供氦氣硬盤零組件技術解決方案的公司，保持了在HDD產品技術革新情況下的領先地位。公司希望通過此次收購整合資源，進一步推進信息存儲相關核心零組件業務發展，加大境外市場的拓展力度，在未來的市場競爭中搶佔有利的位置，增強公司競爭力。
