天味食品逆市暴跌7%，股權激勵透露了什麼玄機？
2021年第一個交易日，大盤迎來了新年開門紅，滬指收盤站上3500點大關，兩市成交額突破一萬億元。調味品板塊雖然今天表現不算亮眼，但在大盤的帶動下，也算中規中矩，其中，恆順醋業上漲4.79%，千禾味業上漲2.81%。
然而，川味複合調味品龍頭天味食品卻逆市暴跌7%，盤中一度跌停，市值蒸發51億。天味食品發生了什麼？
1、外資提前搶跑？

根據港股通數據看到，前三季度，外資通過港股通不斷增持天味食品，並在9月份佔到流通股本的11.4%，與此同時，天味的股價也從年初開始一路上漲。

然而，從9月開始，聰明資金便開始逐漸減倉天味食品，並且在上個交易日，天味食品獲外資賣出55.51萬股，跑了4300萬。截止今日，港資佔天味食品流通股本的9.04%，相較於9月份，減少了2.36%。
2、股權激勵計劃的錯？
另外，消息面上，今日天味食品發佈了一則關於股權激勵的公吿。公吿稱，本次激勵計劃授予權益總數為89.32萬份，其中股票期權數量為45萬份，行權價格為62.07元/份，限制性股票數量為44.32萬份股，授予價格為31.04元。

限制性的股票授予價格為31元，而今天天味食品收盤在76元。相比較限制性股票確實已經有了較大的漲幅。但是，公司對股票的解除限售的時間，和條件有一定的要求。
首先在解除限售時間上，分兩個解除限售期，第一個解除限售期是自授予限制性股票登記完成之日起12個月後的1年期間。另外，限制性股票數量為44.32萬份股，而目前的流通股數量為1.25億股。佔比僅約為0.35%。對短期的影響應該較小。

除此之外，公司同時吿知了行權需要達到的考核目標。以2019年為基數，限制性股票需要達到的要求為，2020年營業收入增長率不低於30%，2021年營業增長率不低於69%。

而公司給出的今年最低營業增速僅為30%，是否低了點？
今年，在新冠疫情的影響下，居民外出就餐受到較大的限制，多選擇在家用餐，帶動了公司家用火鍋底料和調味品的大幅增長，2020年前三季度，公司就實現了營收15.3億元，同比增長41.5%。
如果按照股權激勵最低30%的營收目標值來計算的話，前三季度增速為41%，單四季度增速僅約為10%。這個增速可能是不及市場之前特別樂觀預期的，也是今日股價逆勢暴跌的重要因素。

另外從機構之前對它業績預測也可以看出，機構對它的增速也相當樂觀。各機構對天味今年營業收入的預測平均值為25.07億元，增長率約為45%。而反觀天味食品在自己的公吿中給出的營業增速目標僅為30%。
目前天味食品的市盈率已經達到了114，反應了部分的市場預期。接下來，要謹防回撤風險。
