*ST東科(000727.SZ)：取得了冠捷科技51%股份並向其派出了5名董事
格隆匯 1 月 4日丨*ST東科(000727.SZ)公佈，公司於2020年12月30日與華電有限、羣創光電簽訂《關於南京華東電子信息科技股份有限公司現金收購冠捷科技有限公司51%股份的交割確認書》，約定了如下事項：
1、截至交割確認書籤署之日，交易協議約定的此次交易標的冠捷科技51%股份的交割先決條件均已得到滿足，公司已按照交易協議的約定分別向華電有限、羣創光電足額支付第一期交易價款355,936.2745萬元人民幣、29,063.7255萬元人民幣。
2、華電有限確認，根據本次交易的實際情況，冠捷科技已按百慕大羣島(Bermuda，“百慕大”)法律法規的規定完成本次股權交易必須的決策流程，確保公司股東權益的實現。
3、交割確認書籤署之日(即2020年12月30日)為標的資產的交割日(“股權交割日”)，自股權交割日起，冠捷科技51%股份交割至公司名下，此次交易實施完畢，公司成為持有冠捷科技51%股份的股東，依法享有百慕大相關法律法規及冠捷科技章程規定的全部股東權利並承擔相應股東義務，即自股權交割日起，冠捷科技51%股份對應的全部股東權利(包括但不限於表決權、提名/委派董事權、提案權、分紅權等)及股東義務轉由公司享有或承擔。
4、華電有限和羣創光電應在股權交割日後盡最大努力盡快協助冠捷科技辦理完畢本次交易相關股東名冊變更等按照百慕大法律規定所需的交割相關的變更登記/備案手續，將冠捷科技51%股份變更登記至公司名下；冠捷科技暫未辦理完畢前述登記/備案手續不影響公司對冠捷科技的股東身份，不影響公司對冠捷科技享有股東權利和承擔股東義務。
根據上述約定，截至公吿日，華電有限和羣創光電已將二者合計持有的冠捷科技51%股份相關的權利、義務和風險都轉移至公司，公司取得了冠捷科技51%股份，並向冠捷科技派出了5名董事。
