粵桂股份(000833.SZ)與貴港市政府簽訂《搬遷補償協議終止協議書》和《貴糖整體搬遷及財政產業扶持協議》
格隆匯 12 月 31日丨粵桂股份(000833.SZ)公佈，公司於2020年12月30日召開第八屆董事會第二十次會議，審議通過了《關於與貴港市政府簽訂<搬遷補償協議終止協議書>和<貴糖整體搬遷及財政產業扶持協議>的議案》。
2014年12月8日貴港市政府與廣西貴糖(集團)股份有限公司(現更名為廣西粵桂廣業控股股份有限公司)簽訂了《搬遷補償協議》(“原協議”)，對公司及公司所屬子公司廣西廣業貴糖糖業集團有限公司(“貴糖集團”)位於貴港市港北區幸福路100號的舊廠區(“舊廠區”)整體搬遷至新廠區並進行新廠區建設(“整體搬遷項目”)的相關事宜進行了約定。
協議簽訂以來，各方積極協同推進協議履行，新糖廠於2019年正式投產、新漿廠於2020年6月正式開工建設，貴港市政府認可由公司、貴糖集團主導推進形成的整體搬遷項目建設成果。為了突出上市公司的資本運作平台和綜合管理職能，2018年7月公司由“廣西貴糖(集團)股份有限公司”更名為“廣西粵桂廣業控股股份有限公司”，將糖、漿、紙業務及資產剝離，並於2018年8月新成立全資子公司—“廣西廣業貴糖糖業集團有限公司”，承接了原貴糖股份的糖漿紙產業的全部資產和業務。
現各方根據相關法律法規的規定，按照“以舊換新、收支平衡、總體包乾、一事一議”的總體原則，實事求是、重新梳理明晰各方的權利義務，就貴糖整體搬遷、產業園建設等有關重大事項協商一致，簽署《搬遷補償協議終止協議書》(“終止協議”)《貴糖整體搬遷及財政產業扶持協議》(“搬遷及扶持協議”)。
根據《搬遷及扶持協議》，預計公司合計可收到政府支付的搬遷補償及產業扶持資金合計16.13億元，扣除已獲得的2.26億元扶持資金後，簽訂協議後將還可收到13.87億元。其中，產業扶持資金4.5億元可按收到日期計入當期損益，預計公司在2020年內可收到扶持資金2億元；搬遷補償資金9.37億元將在衝減搬遷損失及資產處置損失後確認為專項應付款。
