濱化股份(601678.SH):子公司熱力公司擬吸收合併燃料公司
格隆匯 12 月 31日丨濱化股份(601678.SH)公佈,公司全資子公司山東濱化熱力有限責任公司(“熱力公司”)擬吸收合併公司全資子公司山東濱化燃料有限公司(“燃料公司”)。吸收合併完成後,燃料公司註銷,全部資產、負債、業務和人員等由熱力公司承繼。
此次吸收合併有利於公司整合資源,簡化管理環節,提高運營效率,降低管理成本。熱力公司和燃料公司均為公司全資子公司,此次吸收合併將導致公司合併報表範圍發生變化,但不會對公司的正常經營和財務狀況構成實質性影響,不會損害公司及全體股東特別是中小股東的利益。
