伊戈爾(002922.SZ)下修業績預吿：2020年度淨利預降4.14%-25.06%
格隆匯12月30日丨伊戈爾(002922.SZ)發佈2020年度業績預吿修正公吿，修正前，預計2020年度歸屬於上市公司股東的淨利潤為1.35億元至1.5億元，比上年同期增長135.29%至161.43%。
修正後，預計2020年度歸屬於上市公司股東的淨利潤4300萬元-5500萬元，同比下降4.14%-25.06%。
公司於2020年9月11日召開了第五屆董事會第六次會議、第五屆監事會第六次會議，於2020年9月29日召開了2020年第二次臨時股東大會，會議審議通過了《關於擬出售資產的議案》，公司擬出售位於廣東省佛山市南海區簡平路桂城科技園A3號的土地使用權及該土地上的地上建築物、構築物(“不動產”)，根據公司的初步測算，此次交易完成後，將增加公司貨幣資金約12,000萬元，預計增加公司2020年度合併報表淨利潤約為9000萬元。處置該地塊的資產收益屬於非經常性損益。公司於2020年9月30日與廣東益建置地有限公司(“交易對方”)簽署了《轉讓協議書》，公司原預計此次交易將在2020年12月31日前完成。
此次交易的實際進展：2020年9月30日雙方簽署了《轉讓協議書》；雙方於2020年10月12日到銀行完成了共管賬户的設立；交易對方於2020年10月13日向共管賬户支付人民幣500萬元定金；公司於2020年11月25日完成了將上述不動產作價出售、過户至佛山市伊戈爾實業發展有限公司名下、辦妥了相應不動產權證並繳清了與交易、過户及辦證相關的全部税費。現因交易對方自身原因暫未能按照《轉讓協議書》中原約定的時間向共管賬户支付剩餘款項1.45億元，從而導致整個交易無法在2020年度內完成，原預計此次交易產生的淨利潤9,000萬元則不能計入公司2020年度的合併報表。
為保障公司利益及推進協議履行，經過雙方進一步協商與溝通，交易對方於2020年12月30日向公司出具承諾函，其承諾：1、將於2021年02月06日前向共管賬户支付完畢1.45億元並繼續履行原協議內容，前述款項的延期支付時間不超過原協議約定的期限。2、將根據原協議的約定承擔延期付款的違約金，並將違約金與上述款項同時支付，違約金將支付至伊戈爾指定的銀行賬户內。
