宜華健康(000150.SZ)及子公司與杭州久茂等相關方簽署《轉讓及增資協議》
格隆匯 12 月 30日丨宜華健康(000150.SZ)公佈,此前披露,公司全資子公司親和源集團有限公司(“親和源”)與杭州久茂實業投資有限公司(“杭州久茂”)簽署了《房租租賃合同》,租賃位於杭州市下城區德勝中路415號久茂大廈,用於經營養老院及養老公寓。租賃期限為20年,總租金為2.26億元。
2018年7月、9月,親和源、杭州久茂、宜華健康簽署了《房租租賃合同之補充協議》、《房屋租賃合同之補充協議二》。因各種原因,調整租金價格,且重新約定付款時間。
因公司未能按照上述協議的約定向杭州久茂履行支付義務,杭州久茂於2019年5月27日,向杭州市中級人民法院對宜華健康及親和源提起訴訟。三方於2019年6月26日經法院組織調解達成和解,並由法院出具(2019)浙01民初1928號《民事調解書》,確認宜華健康及親和源共同清償剩餘租金人民幣2750萬元,宜華健康向杭州久茂清償遲延利息等各項費用人民幣3,050萬元。債權人杭州久茂有權隨時向法院申請執行,要求公司根據《民事調解書》支付相應的債務,或對租賃權進行拍賣。受經濟下行因素、新冠疫情影響,截止目前杭州親和源項目已實際投入運營兩年,銷售未達到預期,項目發展處於停滯階段。按現階段投入及經營方式,未來預計難以取得實質性突破。同時,因項目前期投入多,運營成本中的裝修、租賃、折舊攤銷等費用較為固定,且佔比較大,導致毛利潤下降較大。
杭州親和源欠親和源借款人民幣675.3582萬元,公司、親和源、杭州親和源欠杭州久茂及其他供應商租金、裝修款、違約金合計約8676.61萬元。親和源及杭州親和源債務高,其中,部分債務已到期,致親和源及杭州親和源運營成本及資金壓力增加。
為解決親和源、杭州親和源項目所涉一攬子債務問題,親和源通過與各方債權人協商一致,通過簽署《轉讓及增資協議》,完成債權債務資產轉讓。同時,各方債權人以債轉股的方式,成為杭州親和源股東,與親和源共同經營杭州親和源項目,盤活杭州親和源資產。進而解決了涉及杭州親和源項目一系列債務到期的問題,降低親和源和杭州親和源的負債率,與債權人共同經營,盤活項目,增加主營業務收入。
因前期《房屋租賃合同》約定的租賃主體為親和源,租賃、裝修等相關費用均由親和源承擔,現親和源為明晰資產的權屬,將親和源杭州項目的租賃權、所投入的租金、裝修款及遲延利息等各項費用,及親和源因該項目而產生的債務,一併轉讓給杭州親和源養老服務有限公司(“杭州親和源”)。後續,親和源將處理杭州親和源低效股權,從而解決親和源因該項目而產生的訴訟及負債。
同時,由親和源及杭州久茂以對杭州親和源享有的債權,轉增為杭州親和源的註冊資本。
2020年12月28日,經公司召開第八屆董事會第六次會議審議通過,親和源、宜華健康、杭州親和源、杭州久茂、上海興耊投資合夥企業(有限合夥)、顧捷簽署了《轉讓及增資協議》。
此次轉讓及增資,為合併報表範圍的子公司和孫公司之間的資產及債務轉讓,為公司內部交易,未對公司的經營和利潤產生影響。此次交易,解決杭州親和源項目所涉一攬子債務問題,通過債權人與親和源共同經營杭州親和源項目,盤活杭州親和源資產,解決了涉及杭州親和源項目一系列債務到期的問題,降低親和源和杭州親和源的負債率,與債權人共同經營,盤活項目,增加主營業務收入。
