山高金融(00412.HK):就未償還的季度租賃付款尋求法律意見
格隆匯 12 月 30日丨山高金融(00412.HK)公佈,根據(i)公司間接全資附屬公司山高國際租賃(前稱深圳翔龍融資租賃有限公司,作為出租人);(ii)中國雲南路建集團股份公司("承租人"),作為承租人);(iii)郴州江山房地產開發有限公司("公司擔保人",作為公司擔保人);(iv)鄧小順(作為個人擔保人);及(v)鄧文思(作為個人擔保人)(連同鄧小順先生統稱"個人擔保人")於2013年7月訂立並於2013年12月進行補充的一項融資租賃安排,山高國際租賃以總代價人民幣5億元向承租人購買若干機器及設備("租賃資產"),並將該等機器及設備回租予承租人,租期為五年,租賃付款總額為人民幣6.75億元。上述租金總額分為21期,由承租人於2013年12月20日至2018年12月17日止期間按季度支付予山高國際租賃(統稱為"季度租賃付款",各為一期"季度租賃付款")。
根據融資租賃安排的條款,公司擔保人及個人擔保人須就承租人於融資租賃安排項下的付款責任承擔連帶保證責任,同時承租人向山高國際租賃存入保證金人民幣5000萬元,作為該等付款責任的擔保。根據融資租賃安排之條款,山高國際租賃亦可就融資租賃安排項下任何逾期款項按日利率0.5%收取逾期違約金。
自融資租賃安排起始日期至2016年12月之前,承租人一直按時履行其季度租賃付款的還款責任。於2016年12月,承租人未能向山高國際租賃支付規定到期應付的第13期季度租賃付款。山高國際租賃行使融資租賃安排之條款授予其的權利,自保證金中扣除相當於未償還租賃付款的金額,作為承租人履行第13期季度租賃付款的責任。其後,承租人按時支付第14期的季度租賃付款並於相關到期日前提前支付第15、16及17期的季度租賃付款,但自2018年3月起,承租人未能根據融資租賃安排履行餘下還款責任,於餘下各期季度租賃付款到期時及到期後向山高國際租賃支付該等款項。山高國際租賃已扣除保證金的餘下部分,作為未償還逾期違約金的一部分付款。於公吿日期,不計及未償還的逾期違約金,季度租賃付款的未償還總額為人民幣3.06億元。
集團已就設計、制定及實施風險緩解措施尋求法律意見,以收回未償還的季度租賃付款。集團就此採取的措施包括但不限於以下各項:(1)集團已就未償還的季度租賃付款分別向承租人、公司擔保人及個人擔保人發出催款函;(2)本集團已進行實地考察並與承租人的最終實益擁有人、核數師及債務人進行溝通,以瞭解承租人業務、財務流動資金、財務審核及破產重組的狀況及進展;及(3)集團已於公吿日期對承租人、公司擔保人及個人擔保人展開相關法律訴訟,以收回(其中包括)未償還季度租賃付款及適用的逾期違約金。此外,集團已諮詢中國律師,以瞭解(其中包括)申請資產保全以及收回及處置租賃資產的程序及戰略利益。
董事認為,悉數收回未償還的季度租賃付款存在不確定性。
