瀾起科技(688008.SH)：嘉興宏越及關聯方所持表決權比例降至6.99%
格隆匯12月30日丨瀾起科技(688008.SH)公佈，公司於2020年12月30日收到股東嘉興宏越投資合夥企業(有限合夥)、嘉興莫奈股權投資合夥企業(有限合夥)、Xinyun Capital Fund,L.P.、Xinyun Capital Fund III,L.P.(以上四名股東以下簡稱“嘉興宏越及其關聯方”)及Xinyun Capital Fund I, L.P.(以下簡稱“Xinyun I”)分別發來的《關於擁有權益的股份發生變動的通知函》。
嘉興宏越及其關聯方所持公司股票的表決權受同一主體控制，合計持有公司6.99%的股份。Xinyun I持有公司3.92%的股份，其於2017年12月28日簽署Proxy Letter(以下簡稱“委託協議”)，將持有公司股權的表決權委託給Xinyun Capital Fund, L.P.的普通合夥人Xinyun Capital Management, Ltd.(以下簡稱“Xinyun Capital Management”)行使。因此，嘉興宏越及其關聯方實際控制Xinyun I所持公司3.92%的股票表決權，總計可控制公司股票表決權的比例為10.91%。
根據委託協議的約定，Xinyun I委託Xinyun Capital Management行使其作為公司股東的表決權的委託期限於2020年12月31日屆滿。同時，根據《通知函》，Xinyun I也未與Xinyun Capital Management續簽任何表決權委託協議，上述表決權委託於2020年12月31日到期終止，嘉興宏越及其關聯方與Xinyun I亦不存在任何其他關聯關係，因此導致本次權益變動。
本次權益變動前，嘉興宏越及其關聯方合計持有公司股份的比例為6.99%，實際可控制公司股票表決權的比例為10.91%。本次權益變動後，相關股東各自所持股份數未發生變動，但嘉興宏越及其關聯方可控制公司股票表決權的比例由10.91%降至6.99%，Xinyun I將單獨行使其所持有公司3.92%的股票表決權。
