國電電力(600795.SH)擬轉讓所屬七家煤電企業股權及資產
格隆匯12月30日丨國電電力(600795.SH)公佈，公司擬將所持有的徐礦集團哈密能源有限公司(以下簡稱徐礦哈密能源)50%股權(參股)轉讓給國家能源集團新疆能源有限責任公司(以下簡稱國家能源集團新疆公司)；公司控股子公司北京國電電力有限公司(以下簡稱北京國電電力)擬將所持有的神華神東電力新疆準東五彩灣發電有限公司(以下簡稱五彩灣公司)100%股權、北京國電電力有限公司新疆米東熱電廠(以下簡稱米東熱電廠)全部資產和相關負債轉讓給國家能源集團國源電力有限公司(以下簡稱國家能源集團國源電力)；公司控股子公司北京國電電力全資子公司國電新疆電力有限公司(以下簡稱新疆公司)擬將所持有的國電新疆紅雁池發電有限公司(以下簡稱紅雁池公司)100%股權、國電克拉瑪依發電有限公司(以下簡稱克拉瑪依公司)100%股權、國電庫車發電有限公司(以下簡稱庫車公司)84.17%股權、國電哈密煤電開發有限公司(以下簡稱哈密煤電)50%股權轉讓給國家能源集團新疆公司。
公司向國家能源集團新疆公司轉讓徐礦哈密能源50%股權轉讓價格為2.04億元；北京國電電力向國家能源集團國源電力轉讓五彩灣公司100%股權轉讓價格為20.52億元，轉讓米東熱電廠全部資產轉讓價格為8.35億元；新疆公司向國家能源集團新疆公司轉讓紅雁池公司100%股權轉讓價格為2.85億元，轉讓克拉瑪依公司100%股權轉讓價格為5.17億元，轉讓庫車公司84.17%股權轉讓價格為3.56億元(實際支付扣除新疆公司欠繳庫車公司資本金3936.42萬元)，轉讓哈密煤電50%股權轉讓價格為4.97億元。
本次轉讓資產主要為火電資產，交易完成後，公司控股裝機容量減少596萬千瓦，公司在新疆地區無火電資產，將進一步優化公司電源結構和資產佈局，改善公司財務指標，符合公司發展戰略。
