恆隆地產(00101.HK): 收購壽山村道37號物業無法按原定時間完成

恆隆地產(00101.HK)及恆隆集團(00010.HK)聯合公布,早前有關以25.66億元收購香港壽山村道37號物業的交易定於今天(30日)中午或之前完成。

於上周一(21日),恆隆地產及投標人通過其法律顧問收到土地註冊處發出的函件,當中指明美國駐港總領事館不是一般商業主體,而該物業不是普通房產;該物業的出售涉及中國及美國兩國間的外交事務,不是一般商業行為;中國政府已告知香港特區政府,倘若美國駐港總領事館有意租賃、購置、出售或以其他任何方式獲得或處置任何位於香港特區的房地產,美國政府應提前60天經外交部駐港特派員公署向中國政府提出申請,並提供詳細資訊,在取得中國政府書面答覆同意後方可辦理有關手續;於該函件日期,土地註冊處並未收到任何文件,證明美國政府就出售該物業已遵從該等外交義務。因此,除非及直至美國政府能提交書面文件證明已遵從上述規定,否則土地註冊處不能為該協議備忘錄進行註冊。

公司指,函件中所提述的事項屬特殊事項,且在投標人於投標前及投標時或在簽訂該協議備忘錄時不為恆隆地產及投標人所知及預期之內。投標人通過各自之法律顧問通知美國,須提供美國已遵從該等外交義務之書面證明;及任何該等美國提供的書面證明獲得土地註冊處信納並註冊該協議備忘錄及該物業由美國轉讓予投標人的轉讓契。

美國在昨日(29日)透過其法律顧問提出對於遵從該等外交義務的必要性之異議,唯未有按照該要求信的請求提供證明。因此,交易並無按照原定時間之前完成。

交易的所有相關方同意此交易及完成涉及中國與美國兩個主權國家之間的外交事務,因此並非恆隆地產及投標人所能控制。恆隆地產及投標人正評估及向法律顧問了解有關該交易及上述事項可作出的適當行動,包括研究延長完成時間的可能性。
