招商蛇口(001979.SZ)：OHD擬與CMHD、DNC在吉布提共同投資成立Red Sea World
格隆匯12月29日丨招商蛇口(001979.SZ)公佈，公司之全資子公司達峯國際股份有限公司(“達峯國際”)之全資子公司華隆控股吉布提有限公司(Orienture Holdings (Djibouti) FZE，暫定名，以登記機關最終核准的名稱為準，“OHD”)擬與招商局港口集團股份有限公司之控股子公司招商局港口控股有限公司(“招商局港口”)之間接全資子公司招商局吉布提控股有限公司(China Merchants Holdings Djibouti，“CMHD”)或CMHD之全資子公司(“招商局港口方”)、非關聯方大東非之角投資控股有限公司(Great Horn Investment Holding S.A.S.，“GHIH”)之全資子公司Djibouti New Co(暫定名，以登記機關最終核准的名稱為準，“DNC”)在吉布提共同投資成立Red Sea World(紅海世界，暫定名，以登記機關最終核准的名稱為準，“RSW”)。
RSW首期註冊資本為1.40萬美元的吉布提法郎等值金額，其中DNC、CMHD及OHD各自將分別持有60%、23.5%及16.5%權益。DNC、CMHD及OHD各自於此階段以自有資金支付的出資額分別為0.84萬美元、0.329萬美元及0.231萬美元。RSW註冊成立後，DNC、CMHD及OHD將同比例向RSW增資1.2億美元，DNC、CMHD及OHD分別認繳出資額為7200萬美元、2820萬美元和1980萬美元。
吉布提擁有穩定的地緣政治環境及東非最大的深水港。RSW未來擬在吉布提打造東非國際特別商務區。v次交易對外複製了公司“前港-中區-後城”的綜合開發模式，協調和集中招商局集團內部優勢資源，積極參與東非國際特別商務區的建設開發，有利於提升公司海外綜合開發能力。
