天成自控(603085.SH)：法院裁定批准知豆電動汽車重整計劃
格隆匯 12 月 29日丨天成自控(603085.SH)公佈，因知豆電動汽車有限公司欠公司貨款未按時支付，公司於2018年11月向寧海縣人民法院提起訴訟。2020年12月28日，公司收到寧海縣人民法院《民事裁定書》【(2020)浙0226破9號之二】，裁定批准知豆電動汽車有限公司重整計劃。
知豆公司將分立成持有發展類財產(係指知豆公司持有的專利、商標、技術祕密等知識產權以及蘭州知豆公司的全部股權等無形財產為主的財產)的知豆A公司與持有基礎類財產(係指知豆公司持有的土地、廠房、車輛、設備設施、存貨等有形財產為主的財產)的知豆B公司。
公司已於2020年7月向知豆電動汽車有限公司管理人提交了《普通債權清償方案選擇確認書》，公司確認選擇“現金+股權”清償方案，即：10%現金清償+90%股權清償(重整之後持有發展類資產的A公司股權)。
根據測算，選擇“現金+股權”清償方案下，公司可獲得現金清償金額約300萬元；可獲得的股權清償部分，依據寧海縣人民法院批准的《知豆電動汽車有限公司重整計劃草案》，持有發展類資產的知豆A公司股東(包括現有出資人、選擇在該公司轉股債權人)以其持有知豆A公司股權認繳出資，由此取得南京知豆股權。重整投資人認可知豆公司估值為60 億元人民幣。
根據《重整計劃》，上述債轉股方案的具體轉股比例、持股主體、持股平台治理結構等事項，將根據方案選擇的債權人家數與金額，按照國家有關法律法規，遵循公平公正的基本原則，制定具體實施細則後執行。因此公司持有重整之後A公司股權的持股比例及股權價值具有一定的不確定性，請投資者注意投資風險。
公司在2018年年報和2019年年報中，已經根據此項應收賬款的可回收情況計提了壞賬準備，預計寧海縣人民法院對知豆電動汽車有限公司重整計劃的批准不會對公司本期利潤或期後利潤造成重大不利影響。具體情況將依重整計劃的後續執行情況及會計師的審計為準。
