科森科技(603626.SH)擬變更註冊資本和經營範圍
格隆匯 12 月 29日丨科森科技(603626.SH)公佈，公司於2020年12月29日召開第三屆董事會第十四次會議，審議通過了《關於變更公司註冊資本的議案》、《關於變更公司經營範圍的議案》、《關於公司章程修正案的議案》。
一、變更公司註冊資本的基本情況
公司發行的“科森轉債”自2019年5月22日起可轉換為公司股份。2020年4月1日至2020年11月26日期間，累計轉股18,567,937股。
公司於2020年6月19日、2020年10月14日召開第三屆董事會第四次會議、第三屆董事會第十一次會議審議通過了《關於回購註銷部分激勵對象已獲授但尚未解鎖的限制性股票的議案》，公司2019年限制性股票激勵計劃中的激勵對象石正傑、皮業松2人因離職導致其不再具備激勵資格，故其所持有的已獲授但尚未解鎖的限制性股票應予以回購註銷，上述限制性股票60.55萬股已於2020年12月22日回購註銷。
公司總股本變更至490,885,460股，同時註冊資本變更為490,885,460.00元。
二、變更公司經營範圍的基本情況
公司原經營範圍為：手術器械研發；一類醫療器械及零部件、機電產品及結構件、精密金屬結構件、精密模具的研發、設計、製造和銷售；機械設備租賃；商品及技術的進出口。(前述經營項目中法律、行政法規規定許可經營、限制經營、禁止經營的除外)(依法須經批准的項目，經相關部門批准後方可開展經營活動)一般項目：非居住房地產租賃(除依法須經批准的項目外，憑營業執照依法自主開展經營活動)
