遊族網絡(002174.SZ)：中誠信國際將公司主體及相關債項信用等級列入信用評級觀察名單
格隆匯 12 月 28日丨遊族網絡(002174.SZ)公佈，公司於2019年9月23日發行了遊族網絡股份有限公司公開發行可轉換公司債券(“遊族轉債”)，由中誠信國際信用評級有限責任公司(“中誠信國際”)進行相關信用評級工作。
2020年12月25日，公司發佈《遊族網絡股份有限公司關於公司董事長暨總經理、實際控制人、控股股東逝世的公吿》稱，公司於12月25日接到董事長兼總經理林奇家屬的通知，林奇因病救治無效於2020年12月25日逝世。截至上述公吿日，林奇直接持有公司23.99%股權，是公司控股股東兼實際控制人；林奇持有的公司股份將按照法律、法規辦理繼承手續。根據《公司章程》的規定，公司董事會由9名董事組成。林奇去世後，公司董事會成員數減少至8人，未低於《公司法》規定的董事會最低人數。
2020年12月28日，公司發佈《遊族網絡股份有限公司關於推舉人選代為履行職務及增補提名委員會委員的公吿》稱，公司於2020年12月27日召開第五屆董事會第三十四次會議，審議通過由董事許彬代為履行董事長職務、副總經理陳芳代為履行總經理職務，直至公司分別選舉或聘任產生新任董事長及總經理為止。根據《公司章程》的規定，董事長為公司的法定代表人，許彬在代為履行董事長職務期間同時代為行使法定代表人職權。同時，經公司董事會三名董事提名，公司董事會同意增補許彬為公司董事會提名委員會委員，任期自本次董事會審議通過之日起至第五屆董事會屆滿之日止。
中誠信國際認為，林奇不幸辭世事發突然，其所持公司股份繼承以及未來公司實際控制人變化情況目前尚不明確，公司面臨一定的治理風險，且未來公司董事長及總經理的選舉或聘任對其戰略發展方向及主業經營的影響有待關注。同時，實際控制人的離世或影響公司外部融資環境，具體影響尚需觀察。此外，截至公吿出具日，林奇先生所持公司股份質押率達78.18%，質押比例高，且其質押融資全部於一年內到期。
基於上述情況，中誠信國際決定維持遊族網絡股份有限公司主體信用等級為AA，維持“遊族轉債”債項信用等級為AA，將遊族網絡股份有限公司主體及“遊族轉債”列入信用評級觀察名單。中誠信國際將持續關注林奇持有的公司股份繼承、新任董事長及總經理選舉或聘任進展、公司治理結構的穩定性、業務經營狀況、外部融資環境變化及股價波動等因素對公司整體經營以及償債能力的影響，並及時評估公司的信用狀況。
