海南瑞澤(002596.SZ)：子公司擬向三亞國際郵輪發展有限公司增資1.25億元
格隆匯 12 月 28日丨海南瑞澤(002596.SZ)公佈，2018年2月23日，公司全資子公司海南瑞澤旅遊控股有限公司(“瑞澤旅遊”)與中交海南建設投資有限公司(中交海洋投資控股有限公司的全資子公司)、北京華信瑞峯投資發展有限公司(“華信瑞峯”)共同簽署了《關於合作經營三亞國際郵輪發展有限公司相關事項的戰略合作框架協議》(“《原戰略合作框架協議》”)，各方就共同增資三亞國際郵輪發展有限公司(“標的公司”)併合作開發三亞國際郵輪業務達成戰略合作。
現經過各方兩年多的磋商溝通，《原戰略合作框架協議》之簽署方華信瑞峯決定退出此次戰略合作，同時中交海洋投資控股有限公司(“中交海投”)替換其全資子公司中交海南建設投資有限公司與瑞澤旅遊以及新引入的香港碧海郵輪有限公司(“碧海郵輪”)、中金鷹投資有限公司(“中金鷹”)共同增資標的公司，共同攜手開發郵輪旅遊業務。
2020年12月28日，瑞澤旅遊與中交海投、碧海郵輪、中金鷹共同簽署了《合作協議》，經友好協商，各方就共同增資標的公司併合作開發三亞國際郵輪業務達成合作。其中：瑞澤旅遊擬出資1.25億元，佔增資完成後標的公司的25%的股權。
合作方中交海投於2015年底出資成立標的公司三亞國際郵輪發展有限公司，作為中交建設進軍中國郵輪產業的資源整合平台、產業聚集平台、項目孵化平台。目前，中交海投在航線開通及郵輪運營、港口及目的地打造、郵輪資產購置等方面，已經取得了一定的經驗。合作方碧海郵輪實際控制人控制的佳龍集團在港口碼頭的開發、旅遊觀光服務、飲食服務、文化娛樂服務等方面擁有豐富的經驗。合作方中金鷹在文旅項目開發建設和運營管理上經驗豐富。
公司十分看好海南自由貿易港的長期發展並看好郵輪產業的持續發展，同時看好各合作方擁有的相關經驗和優勢。因此公司擬使用自有或自籌資金參與本次合作，充分利用海南自由貿易港政策優勢、區位優勢，積極佈局郵輪旅遊產業，與各合作方共同開發郵輪旅遊，打造郵輪旅遊投資運營平台，促使公司向大基建、大生態環保、大旅遊邁進，實現公司戰略發展目標和提升公司的持續競爭力。
