ST捨得(600702.SH)收到遂寧市公安局關於劉力等人背信損害上市公司利益案偵查進展情況的通知
格隆匯 12 月 28日丨ST捨得(600702.SH)公佈，公司分別於2020年9月18日、2020年9月25日發佈《捨得酒業關於公司財務負責人被公安機關採取強制措施的公吿》(公吿編號：2020-072)、《捨得酒業關於公司董事長、總裁、部分董事被公安機關立案調查的公吿》(公吿編號：2020-076)，披露了劉力、李富全等人員因涉嫌背信損害上市公司利益罪被公安機關刑事立案調查。現將相關進展情況公吿如下：
2020年12月27日，公司收到遂寧市公安局《關於劉力等人背信損害上市公司利益案偵查進展情況的通知》，具體內容：“我局在偵辦劉力等人背信損害上市公司利益案中，發現你司間接控股股東天洋控股集團有限公司(以下簡稱“天洋控股”），利用與你司合作對外投資方式佔用公司資金等犯罪線索，相關犯罪事實我局正在進一步調查中，現將該情況吿知你司，請你司做好配合工作。”
依據遂寧市公安局通知，並結合公司前期自查情況，公司認為天洋控股及其關聯方涉嫌存在通過與我司合作成立天贏鏈(深圳)商業保理有限公司(“天贏鏈保理”)方式佔用我司資金的情形，具體如下：
公司於2018年6月20日以通訊方式召開了第九屆董事會第十五次會議，審議通過《關於投資參股天贏鏈（深圳）商業保理有限公司的議案》，同意公司與北京天洋投資有限公司、四川沱牌捨得集團有限公司共同對天贏鏈保理增資3.5億元，其中公司對天贏鏈保理增資1億元，北京天洋投資有限公司對天贏鏈保理增資1.02億元，四川沱牌捨得集團有限公司對天贏鏈保理增資1.48億元。增資完成後，公司持有天贏鏈保理25%的股權。
截至2020年11月19日，天贏鏈保理應收天洋控股及其關聯方的保理款餘額約為4.05億元(天贏鏈保理全部資金)，明細如下：
根據公司2018年6月21日對外披露的《關於對外投資暨關聯交易的公吿》，公司完成對天贏鏈保理投資後，天贏鏈保理擬開展供應鏈上游供應商應收賬款保理業務，以支持各實體產業生態鏈中上游供應商的經營與發展，將有利於加強公司的應付賬款的管理，減少流通環節中的資金佔用，盤活公司可用資源，延伸市場價值鏈，進一步提升公司的盈利能力。但截止目前天贏鏈保理均只與天洋控股及其關聯方發生保理業務，使得天贏鏈保理目前全部資金均被天洋控股及其關聯方使用。
鑑於相關資金佔用細節和責任人員還有待公安機關進一步查證和偵辦，公司將積極配合公安機關的相關調查，並對上述事項的進展情況嚴格按照有關法律、法規的規定和要求，及時履行信息披露義務。
