名家匯(300506.SZ)擬收購愛特微52%股權 明起復牌
格隆匯 12 月 28日丨名家匯(300506.SZ)披露發行股份購買資產並募集配套資金預案，上市公司擬通過發行股份的方式購買交易對方悦金產投所持有的愛特微52%的股權。同時，上市公司擬向不超過35名特定投資者以非公開發行股份的形式募集配套資金，總額不超過擬發行股份購買資產交易價格的100%，募集配套資金髮行股票數量不超過此次發行股份購買資產前上市公司總股本的30%。募集配套資金用於標的公司研發中心建設、此次交易相關費用和補充流動資金等用途，其中補充流動資金金額不超過募集配套資金總額的50%或者此次交易作價的25%。
上市公司主營業務為照明工程業務及與之相關的照明工程設計、照明產品的研發、生產、銷售及合同能源管理業務。擁有行業領先的“設計-生產-施工”全產業鏈、一體化綜合服務能力，已取得我國照明工程行業的《城市及道路照明工程專業承包壹級》和《照明工程設計專項甲級》最高等級資質，是國家高新技術企業，通過設計方案的實施，成功將高科技照明產品和智能化控制技術應用於照明工程行業，順應了節能環保、綠色照明的潮流。
愛特微主要從事IGBT芯片設計、製造和銷售以及功率半導體晶圓代工。在英飛凌、意法、安森美等國際廠家主導的IGBT市場，愛特微憑藉產品優越的性能和可靠的質量，獲得了客户的認可，成功的進入美的等知名家電品牌的供應鏈，並積極進入工業控制、新能源等應用領域。
2020年，受行業政策變動及新冠疫情影響，公司2020年1-9月淨利潤較上年同期大幅下降，為此，上市公司圍繞“一核兩翼”發展戰略做好主業的同時，也在積極謀求轉型發展，拓展新的利潤增長點。
通過此次收購，將進一步促進上市公司戰略的轉型以及對半導體行業的佈局，拓寬上市公司的業務範圍，增強上市公司未來盈利能力，有利於維護公司全體股東的利益。
經向深圳證券交易所申請，公司股票將於2020年12月29日開市起復牌。
