上峯水泥(000672.SZ)：子公司擬與專業機構合資成立私募投資基金盛元興匯
格隆匯 12 月 28日丨上峯水泥(000672.SZ)公佈，為落實戰略發展規劃，在立足主業的同時適度開展新經濟產業財務投資，推進“一主兩翼”具體項目有序落地，以提升企業可持續發展綜合競爭力，公司以全資子公司寧波上融物流有限公司(“寧波上融”)為出資主體與專業機構合資成立私募投資基金——湖州盛元興匯股權投資合夥企業(有限合夥)(“盛元興匯”)，寧波上融作為有限合夥人出資4000萬元佔盛元興匯97.09%的合夥份額，盛元興匯的投資範圍專項限於投資單一目標浙江碩維軌道交通裝備有限公司(“碩維軌道”)。
此次新經濟產業財務投資系基於公司發展戰略需要，符合經審議後已發佈的公司中期發展規劃及公司新經濟產業投資方向範圍，此次投資標的碩維軌道在國家重點支持的軌道交通裝備製造產業細分領域具有較好的運營基礎和成長空間，項目投資符合公司新經濟產業投資框架標準，也是公司輔翼發展線中又一財務投資項目穩步成功落地，對公司着眼長遠、穩中求進的轉型升級和可持續價值成長具有重要意義。
公司多年來積極響應政府號召，在保持對實體經濟主業長期專注和不懈努力的同時，致力於企業高質量發展和產業創新升級，鍛造公司的綜合可持續競爭力。在切實保障主業經營及投資現金流需求、有效控制風險的前提下，公司以國家重點支持的解決“卡脖子”問題的關鍵技術創新領域或優勢產業領域精耕細作如半導體、高端裝備製造等，以及公司產業鏈相關的環保等產業為重點目標進行戰略性投入，前瞻性佈局新經濟領域股權投資，符合公司綜合效益價值的發展宗旨。新經濟產業股權投資不僅有利於平抑單一主業週期性波動風險，同時也提升了團隊綜合經營管理水平，促進現有主業加快融入產業互聯網升級思維，進一步增強公司整體綜合競爭力。公司將充分利用資源，藉助專業投資管理機構等優勢和資源，把握投資風險，優化投資配置，助力投資升級，為公司持續、快速、穩定發展提供支持。此次投資資金來源於公司自有資金，不會對公司財務及經營狀況產生不利影響，不存在損害上市公司股東利益的情形。
