陽煤化工(600691.SH)：由陽雄氫能投建的氫能重卡示範項目加氫站已建設完成 並正式投入運營
格隆匯 12 月 28日丨陽煤化工(600691.SH)公佈，公司於2020年3月2日召開了第十屆董事會第七次會議審議通過了《陽煤化工股份有限公司關於與深圳市氫雄重驅動力科技有限公司成立合資公司的議案》。公司擬與深圳市氫雄重驅動力科技有限公司成立陽雄氫能，陽雄氫能註冊資本5000萬元，公司出資4000萬元、持股比例80%。
陽雄氫能於2020年3月26日完成工商註冊登記，該公司主營氫能科技技術諮詢服務，新能源汽車智能化系統及部件的組裝與生產、銷售；新能源汽車的租賃及銷售；機械設備租賃。
2020年12月26日，由陽雄氫能投資建設的氫能重卡示範項目加氫站已建設完成，並正式投入運營。
氫能重卡示範項目依託控股股東華陽新材料科技集團有限公司(“華陽新材料集團”)的控股子公司陽煤集團平定化工有限公司煤氣化裝置副餘的氫氣為原料，通過6塔PSA裝置純化後得到符合GB/T37244-2018《質子交換膜燃料電池汽車用燃料氫氣》的燃料電池氫，氫氣產量為1000Nm3/h。提純後的氫氣經壓縮機壓縮罐裝後，運輸至陽雄氫能加氫站。最終通過35MPa雙槍單系統加氫機對燃料電池車進行加註。目前，加氫站主要服務對象為控股股東華陽新材料集團的氫燃料重卡，用於煤礦井口到火車發運站台的煤炭循環運輸。
陽雄氫能氫能重卡示範項目加氫站的建成投運是公司前期對外投資成立合資公司，在氫能源投資項目的具體實施和落實。陽雄氫能加氫站的投運對國內氫能重卡應用具有積極的示範引導效應，社會效益顯著。
此外，公司特別風險提示：
1、公司主營業務未發生重大變化，主要從事煤化工產品和化工機械設備的生產和銷售，化工產品研發等業務，所處的市場經營環境及行業政策也未發生重大調整。
2、公司對山西陽雄氫能科技有限責任公司(“陽雄氫能”)的投資為4,000萬元，金額較小，僅佔公司最近一期經審計淨資產的0.74%。此次投資不會對公司業務結構和生產經營產生重大影響。
3、陽雄氫能加氫站尚未產生收益，下游用途處於市場推介階段，目前主要服務對象為公司控股股東華陽新材料科技集團有限公司(“華陽新材料集團”)的氫燃料重卡，用於煤礦井口到火車發運站台的煤炭循環運輸，未來能否產生預期收益存在不確定性。
4、目前，陽雄氫能加氫站的運營存在一定的關聯方依賴。公司前期生產的氫氣主要為中間品，用於合成氨、尿素等化工品；陽雄氫能加氫站的氫氣採購、市場應用主要來源於控股股東華陽新材料集團提供的客户資源。
5、此次對外投資可能會面臨一定的市場、技術及運營風險，公司將制定相關風險控制策略，積極防範並化解各類風險。
