美圖(01357.HK)：已與少數股東討論並初步認為睿晟天和尋求建議中國上市對其未來發展有益
格隆匯 12 月 27日丨美圖公司(01357.HK)公佈，2020年12月25日，美圖網和睿晟天和(美圖網擁有約80.19%權益的非全資子公司)的少數股東訂立出售協議，據此，美圖網已同意出售而少數股東已同意購買睿晟天和約14.86%股權，總現金代價約人民幣769萬元。出售事項預期將於2020年12月31日或之前完成。
出售事項完成後，美圖網於睿晟天和的股權將由約80.19%減少至約65.33%，而睿晟天和將繼續為公司的合併聯屬實體，其財務數據於集團財務報表中合併入賬。
另外，2020年12月25日，美圖網和睿晟天和(美圖網擁有約80.19%權益的非全資子公司)的少數股東訂立收購協議，據此，待回撥條款被觸發後，美圖網已同意購買而少數股東已同意於回撥條款被觸發後的次年的6月30日或之前出售睿晟天和約19.81%股權(相等於彼等於美圖網根據回撥條款自少數股東購回出售股權後於睿晟天和持有的所有餘下股權)，總現金代價相等於收購代價。
在回撥條款被觸發的情況下，收購事項預期將於回撥條款被觸發後的次年的6月30日或之前完成。
在收購事項完成時，睿晟天和將成為美圖網的全資子公司，其財務數據繼續於集團財務報表中合併入賬。
自美圖網與睿晟天和股東於2018年(近三年前)訂立投資協議以收購睿晟天和以來，睿晟天和的業務發展方式使其有必要考慮其他融資形式，以有效執行未來業務發展計劃。公司已與少數股東討論並初步認為睿晟天和尋求建議中國上市對睿晟天和的未來發展有益(及因此符合睿晟天和全體股東的權益)。
公司認為睿晟天和尋求其股份於中國國內證券交易所獨立上市乃屬適當，且按慣例將於國內市場上市的公司創始股東持有的股權會高於睿晟天和創始股東持有的當前股權。出售事項將進一步令少數股東與公司利益一致，尤其是提升彼等的積極性以努力完成睿晟天和於中國國內證券交易所的成功上市。
另一方面，倘由於睿晟天和未能(i)於2022年12月31日前向相關中國機構提交有關建議中國上市的申請或(ii)於出售協議所訂立的指定時間內完成建議中國上市，回撥條款及收購協議將使美圖網可收購由少數股東持有睿晟天和的所有餘下股權，從而給予公司對睿晟天和的業務及財務事宜的更多靈活性及絕對控制。倘睿晟天和成為美圖網的全資子公司，公司將指導睿晟天和的未來發展，從而為集團的業務作出補充。
同時，倘睿晟天和能確保戰略投資者投資睿晟天和，從而導致現金流入睿晟天和，進而增加睿晟天和的資產淨值，美圖網及少數股東可真誠地進行磋商並訂立補充協議，以調整收購代價以及修訂收購協議的其他相關條款以反映睿晟天和估值及睿晟天和股權結構的有關變動。任何有關補充協議均須遵守上市規則的適用規定(包括但不限於刊發補充公吿(如有需要)以及其他適用規定)。
公吿日期，就睿晟天和可能於中國國內證券交易所獨立上市尚無具體行動。除其他規定外，任何有關睿晟天和獨立上市將須遵守上市規則第十五項應用指引的適用規定及取得中國相關監管機關的批准。因此，投資者應注意睿晟天和獨立上市可能會或可能不會進行及買賣公司證券時務請謹慎行事。
