中芯國際(00981.HK)：將不會向芯鑫融資租賃額外注資
格隆匯 12 月 27日丨中芯國際(00981.HK)公佈，2020年12月25日，第二份經修訂合資經營合同的訂約方與紹興重點產業基金訂立增資協議，根據該協議，湖南財信和紹興集成電路基金(作為芯鑫融資租賃的現有股東)與紹興重點產業基金(作為芯鑫融資租賃的新股東)同意各自向芯鑫融資租賃注資。芯鑫融資租賃的其他現有股東(包括公司)將不會向芯鑫融資租賃額外注資。
2020年12月25日，第二份經修訂合資經營合同的訂約方與紹興重點產業基金同意通過第三份經修訂合資經營合同就注資修訂第二份經修訂合資經營合同。
2020年12月25日，第三份經修訂合資經營合同的訂約方與西安高新金控集團和青島甲天下訂立進一步增資協議，根據該協議，西安高新金控集團和青島甲天下(作為芯鑫融資租賃的新股東)同意各自向芯鑫融資租賃注資。芯鑫融資租賃的其他現有股東(包括公司)將不會向芯鑫融資租賃額外注資。
2020年12月25日，第三份經修訂合資經營合同的訂約方與西安高新金控集團和青島甲天下同意通過第四份經修訂合資經營合同就進一步注資修訂第三份經修訂合資經營合同。
除西安高新金控集團和青島甲天下外，進一步增資協議其他訂約方將不會以現金向芯鑫融資租賃作額外注資。
西安高新金控集團同意以現金注資人民幣10億元，其中約人民幣853,476,815元將注入芯鑫融資租賃的註冊資本，另約人民幣146,523,185元將注入芯鑫融資租賃的資本公積金賬户。
青島甲天下同意以現金注資人民幣8億元，其中約人民幣682,781,452元將注入芯鑫融資租賃的註冊資本，另約人民幣117,218,548元將注入芯鑫融資租賃的資本公積金賬户。
上述各方履行注資責任將使芯鑫融資租賃的註冊資本由人民幣11,673,232,054元增至人民幣13,209,490,321元。
西安高新金控集團和青島甲天下須於進一步增資協議日期起計10日內各自完成30%注資，及於進一步增資協議日期起計90日內完成餘下70%注資。
代價乃由各方經參考芯鑫融資租賃的淨資產、未來業務前景及發展潛力後公平磋商得出。注資將由芯鑫融資租賃用作營運資金。
