當代文體(600136.SH)：未完成股份回購計劃且在到期前未履行變更程序 收到警示函
格隆匯 12 月 25日丨當代文體(600136.SH)公佈，公司於近日收到中國證券監督管理委員會湖北監管局行政監管措施決定書《關於對武漢當代明誠文化體育集團股份有限公司採取出具警示函措施的決定》【2020】48號。決定書的主要內容如下：
“武漢當代明誠文化體育集團股份有限公司：
2019年3月1日，你公司公吿稱計劃在未來6個月內、以自有或自籌資金、通過集中競價的方式回購公司股份，回購金額不低於人民幣0.8億元，不超過人民幣1.6億元，回購股份價格不高於人民幣12.27元每股。2019年8月10日，你公司公吿稱回購計劃延期至2019年9月30日，回購計劃其他條款不變。2019年9月30日，公司股份回購期限屆滿，公司累計回購股份152.55萬股，佔公司總股本的0.31%，回購總金額1798.76萬元，實際回購完成金額僅佔回購計劃金額下限的22.48%，未完成原定回購計劃。
你公司未按照承諾完成回購股份計劃，且在回購到期前，未履行變更程序，構成了《上市公司監管指引第4號--上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》(證監會公吿【2013】55號)第五條第二款中未履行承諾的行為。
根據《上市公司監管指引第4號--上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》(證監會公吿【2013】55號)第六條第一款的規定，我局決定對你公司出具警示函，並將上述違規情況記入誠信檔案。你公司應認真吸取教訓，加強證券法律法規學習，杜絕此類行為再次發生。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證監會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司高度重視上述《警示函》所提出的問題。同時，公司將加強內部控制管理，嚴格遵守《證券法》、《信息披露管理辦法》等法律法規規定，強化規範運作意識，有效提高公司治理水平，杜絕此類問題的再次發生。
