友发集团(601686.SH)：子公司拟通过出资权转让及增资扩股方式引进16家投资者

格隆汇 12 月 25日丨友发集团(601686.SH)公布，公司全资子公司唐山友发新型建筑器材有限公司(“唐山友发新型建材”)拟通过出资权转让及增资扩股相结合的方式引进投资者天津源通泽管理咨询合伙企业(有限合伙)(“天津源通泽”)、唐山帮茗贸易有限公司(“唐山帮茗”)、杭州热联集团股份有限公司(“杭州热联”)、河北策惠企业管理咨询有限公司(“河北策惠”)、河北胜华钢管有限公司(“河北胜华”)、河北兴发建筑器材有限公司(“河北兴发”)、任丘市顺兴脚手架厂(“任丘顺兴”)、开平市优赢金属制品有限公司(“优赢金属”)、张永生、龚爱民、孙赶良、孙建利、王前、姚永申、张凯、杜红芬。增资后公司及上述16家投资者分别持有唐山友发新型建材51%、11%、10%、2%、2%、2%、2%、2%、2%、2%、2%、2%、2%、2%、2%、2%和2%的股权。
为进一步增强公司全资子公司唐山友发新型建材的资本实力，深化合作，提高产品竞争力，该公司拟通过出资权转让及增资扩股方式引进16家投资者，该公司原注册资本3亿元，均由公司认缴，尚未实缴。现拟将其中4500万元的出资权转让给唐山帮茗，同时新引进的投资者共同增资2亿元。
此次全资子公司增资扩股引进投资者，符合国家相关政策导向及公司长期战略布局，降低公司经营风险，对公司调整产品结构，培育新的利润增长点，实现高质量发展具有重要意义。此次增资扩股前，唐山友发新型建材为友发集团全资子公司。增资扩股完成后，本公司持股比例将降至51%，控制权不发生变更，不会导致公司合并报表范围发生变化，对公司当期经营业绩不会产生重大影响。
