雅居樂集團(03383.HK)訂立項目土地合作文據 投資者將向公司附屬支付合計70.5億元
格隆匯12月24日丨雅居樂集團(03383.HK)公告，於2020年12月21日及24日，有關雅居樂附屬公司（均為公司間接全資或非全資附屬公司）、有關投資者（深圳市盛鈞投資管理有限公司、桐鄉市安豪投資管理有限公司及深圳安創投資管理有限公司），及有關項目公司（包括海南伊海榮盛房地產開發有限公司、中山市海德房地產開發有限公司、揚州雅昊商務管理有限公司及揚州雅悦房地產開發有限公司、廣東新美居房地產發展有限公司、天津雅逸房地產開發有限公司、鞏義雅居樂置業有限公司、惠州市仲元實業有限公司）訂立有關合作文據，據此，有關雅居樂附屬公司及有關投資者將根據有關合作文據的條款共同投資有關7幅項目土地。
根據合作文據的條款，投資者已同意向有關雅居樂附屬公司支付合計人民幣70.5億元，作為其各自收購股權或貸款的誠意金。
據悉，項目土地1指中國海南省萬寧市龍滾鎮正門嶺，覆蓋地盤面積約為132,711.56平方米。項目土地2指中國廣東省中山市火炬開發區宮花村，覆蓋地盤面積約為173,542.90平方米。項目土地3指包括地塊編號G05、G08、G09及G10，位於中國江蘇省揚州市江都區的四(4)幅土地，覆蓋地盤面積約246,013平方米。
項目土地4指中國廣東省清遠市清城區民安路及連江西路交界處，不包括(i)第1及2號樓宇的一期；及(ii)第1及2號樓宇的二期（住宅物業），連同九幅土地。項目土地5指包括七幅土地，即地塊編號2018-047、2018-048、2018-049、2018-050、2019-039、2019-040及2019-041，位於中國天津市寶坻區，覆蓋總地盤面積約為493,872.2平方米。
此外，項目土地6指包括十四幅土地，即地塊編號2018-143、2018-144、2018-145、2018-151、2018-140、2018-141、2018-142、2018-150、2018-152、2019-030、2018-146、2018-147、2018-148及2018-149，位於中國鄭州市鞏義市白沙片區，覆蓋總地盤面積約為492,061.14平方米。項目土地7指包括兩(2)幅土地，即地塊編號ZK9-09-01及ZK9-05-01Z，位於中國廣東省惠州市仲愷高新區9號小區，覆蓋總地盤面積55,410平方米。
董事認為，訂立合作文據有利於公司及股東的整體利益，乃因此舉可分散集團的財務風險，有助於集團滿足其物業項目開發的營運資金需求。
