移卡(09923.HK)擬1.7億元收購CHUANGXINZHONG LTD全部股權
格隆匯12月24日丨移卡(09923.HK)公告，於2020年12月24日，公司（作為買方）、賣方Source Winner、Bright Usening、Better One、Nine Global及Summer.A、創始人及目標公司CHUANGXINZHONG LTD就收購目標公司的全部已發行股本訂立購股協議，代價為人民幣1.7億元。代價將部分通過支付現金款項人民幣1500萬元及部分通過公司向賣方配發及發行490萬股代價股份的方式支付，每股代價股份37.50港元。
截至本公告日期，目標公司由Source Winner、Bright Usening、Better One、Nice Globe及Summer.A分別實益擁有約58.2%、約20.0%、約7.9%、約4.8%及約9.2%。ChuangxinzhongHK為一家根據香港法例註冊成立的投資控股有限公司，截至本公告日期，由目標公司全資擁有。
北京創信眾為一家根據中國法律成立的有限公司。北京創信眾及其附屬公司主要於中國從事廣告代理及廣告運營業務。重組後，北京創信眾將由移卡科技、ChuangxinzhongHK、秦令今先生、張國顯先生、裴瀟先生及湛揚先生分別擁有42.5%、42.5%、9.61%、3.30%、1.30%及0.79%。
公司表示，北 京創信眾為一家中國領先的內容效果營銷服務供應商。董事認為，與北京創信眾進行戰略投資及合作，將進一步幫助雙方完成優質資源的整合，打通線上線下媒體資源及數據。北京創信眾將快速擴充公司在線廣告位庫存，擴大公司的廣告投放空間，使公司的數據管理平台（DMP）可以更好地發揮效應。
同時，北京創信眾可豐富公司以用户交易為基礎的數據，從而與公司現有的廣告精準營銷平台產生充分協同效應。尤其是，公司可迅速拓充客户畫像的數據維度並強化DMP中的流量標籤，優化人工智能驅動的投放模式，不斷提升營銷服務的效率，為廣告主實現良好的營銷投資回報率。
