深入推進地產+拿地模式 首創置業(02868.HK)擬6.47億元收購烏鎮地塊權益

格隆匯12月23日丨首創置業(02868.HK)公告,於2020年12月23日,首金興江(公司全資附屬公司)、桐鄉平安、深圳安創、億晉置業、億薇置業、億翊置業、安悦置業、安潤置業及安博置業訂立合作協議,內容有關以下事項:首金興江同意收購桐鄉平安持有的安悦置業9.15%股權,股權收購價格為人民幣1830萬元,並向安悦置業提供不超過人民幣2564萬元資金以償還前期股東借款本息及支付項目日常開支使用。

首金興江同意收購深圳安創持有的安潤置業40%股權,股權收購價格為零及按40%的股權比例承擔安潤置業人民幣400萬元註冊資本繳付義務,並向安潤置業提供不超過人民幣1.54億元資金以償還前期股東借款本息及支付項目日常開支使用。

首金興江同意收購深圳安創持有的安博置業40%股權,股權收購價格為零及按40%的股權比例承擔安博置業人民幣400萬元註冊資本繳付義務,並向安博置業提供不超過人民幣1.53億元資金以償還前期股東借款本息及支付項目日常開支使用。

此外,首金興江擬向安悦置業、安潤置業、安博置業提供股東資金用於未來項目開發,三家合計不超過人民幣2.88億元。據此,首金興江對收購事項的總承擔將為人民幣6.47億元。

安悦置業、安潤置業、安博置業分別從事烏鎮B3、B4、B5地塊項目開發。B3地塊指位於中國浙江省桐鄉市烏鎮鎮平安區塊、東側為烏鎮大道、南側為現狀河流、西側為規劃道路、北臨烏塍線的一幅地塊。

B4地塊指位於中國浙江省桐鄉市烏鎮鎮平安區塊,烏鎮大道西側、烏塍綫北側的一幅地塊。B5地塊指位於中國浙江省桐鄉市烏鎮鎮平安區塊,烏鎮大道西側、梅家洋浜南側的一幅地塊。
