深入推進地產+拿地模式 首創置業(02868.HK)擬6.47億元收購烏鎮地塊權益
格隆匯12月23日丨首創置業(02868.HK)公告，於2020年12月23日，首金興江（公司全資附屬公司）、桐鄉平安、深圳安創、億晉置業、億薇置業、億翊置業、安悦置業、安潤置業及安博置業訂立合作協議，內容有關以下事項：首金興江同意收購桐鄉平安持有的安悦置業9.15%股權，股權收購價格為人民幣1830萬元，並向安悦置業提供不超過人民幣2564萬元資金以償還前期股東借款本息及支付項目日常開支使用。
首金興江同意收購深圳安創持有的安潤置業40%股權，股權收購價格為零及按40%的股權比例承擔安潤置業人民幣400萬元註冊資本繳付義務，並向安潤置業提供不超過人民幣1.54億元資金以償還前期股東借款本息及支付項目日常開支使用。
首金興江同意收購深圳安創持有的安博置業40%股權，股權收購價格為零及按40%的股權比例承擔安博置業人民幣400萬元註冊資本繳付義務，並向安博置業提供不超過人民幣1.53億元資金以償還前期股東借款本息及支付項目日常開支使用。
此外，首金興江擬向安悦置業、安潤置業、安博置業提供股東資金用於未來項目開發，三家合計不超過人民幣2.88億元。據此，首金興江對收購事項的總承擔將為人民幣6.47億元。
安悦置業、安潤置業、安博置業分別從事烏鎮B3、B4、B5地塊項目開發。B3地塊指位於中國浙江省桐鄉市烏鎮鎮平安區塊、東側為烏鎮大道、南側為現狀河流、西側為規劃道路、北臨烏塍線的一幅地塊。
B4地塊指位於中國浙江省桐鄉市烏鎮鎮平安區塊，烏鎮大道西側、烏塍綫北側的一幅地塊。B5地塊指位於中國浙江省桐鄉市烏鎮鎮平安區塊，烏鎮大道西側、梅家洋浜南側的一幅地塊。
公司為中國領先的大型地產綜合運營商，實行安全穩健的投資策略，優中選優，審慎投資；聚焦非競爭性取地，綜合採用產業協同、併購、戰略合作、一二級聯動等差異化方式，充分發揮多元業務優勢，深入推進地產+拿地模式，強化戰略性核心資源獲取。同時，本項目位於浙江省桐鄉市烏鎮新城區，烏鎮處於滬蘇杭金三角之中，以世界互聯網大會永久會址、國家5A級旅遊景區等名片聞名長三角乃至全國，區位條件優越，此次收購事項能進一步擴充公司在長三角的優質資源儲備。此次以本項目為契機，公司與平安不動產、上坤地產建立友好合作關係，未來將進一步依託戰略合作獲取更多優質資源。
