柏荣集团控股(08316.HK)：75%股权易手全通实业集团董事长行远致提全购 明日复牌
格隆汇 12 月 22日丨柏荣集团控股(08316.HK)公布，公司获要约人全通集团控股告知，于2020年12月14日 ，Steel Dust、接管人及要约人订立买卖契据，据此(其中包括)，Steel Dust及接管人同意出售而要约人同意收购销售股份，即合共6亿股股份(相当于公司于联合公布日期全部已发行股本的75.00%)，代价为4000万港元(或每股销售股份约0.067港元)。完成已于2020年12月17日落实。
紧接完成前，除傅奕龙(为要约人的董事)所持有其于2020年9月18日在公开市场收购的20万股股份外，要约人及其一致行动人士并无持有、拥有、控制或指示任何股份、购股权、衍生工具、认股权证或可转换为股份的其他证券的任何投票权或权利。紧随完成后及于联合公布日期，要约人及其一致行动人士于6.002亿股股份中拥有权益，相当于公司全部已发行股本约75.03%。
根据收购守则规则26.1，于完成后，要约人须就全部已发行股份(要约人及其一致行动人士已拥有或同意将予收购者除外)提出强制性无条件现金要约。每股要约价为0.075港元，与最后交易日收市价相若。
据悉，要约人为一间于2020年10月6日在英属处女群岛注册成立的有限公司。要约人为一间投资控股公司。于联合公布日期，要约人由行远全资实益拥有。行远及傅奕龙为要约人的董事。
行远，45岁，为要约人的唯一实益拥有人及其中一名董事。行远于1997年7月获得西安交通大学医学部(前称西安医科大学)医学(药理学)学士学位。行远自2015年12月起担任陕西全通实业集团有限公司董事会主席，该公司主要从事新能源汽车产业集群发展平台建设及新能源汽车完整生命周期产业链建设。陕西全通实业集团有限公司业务包括(i)销售定制汽车；(ii)设计及研发汽车及相关电池、电动机及电气控制系统；(iii)汽车充电基础设施建设；及(iv)汽车购回及电池回收服务。彼主要负责该公司业务营运的整体发展及策略规划。
行远作为集团的投资者，知悉彼未必拥有建筑行业(尤其是香港的基础业务)的相关经验。彼有意提名于建筑行业拥有相关经验的执行董事，以促进集团的业务营运、管理及策略发展，并正在物色合适人选。
于要约截止后，要约人的意向为集团将继续其现有主要业务。要约人无意于紧随要约截止后对集团的现有营运及业务作出任何重大变动，且将不会重新调配或出售本集团的任何资产(包括固定资产)，惟於日常业务过程中进行者除外。
公告称，董事会建议将公司英文名称由"Pak Wing Group (Holdings) Limited"更改为"Quantong Holdings Limited"，并采纳中文双重外文名称"全通控股有限公司"以取代公司现有中文名称"柏荣集团(控股)有限公司("现时仅供识别)。
此外，公司已向联交所申请自2020年12月23日(星期三)上午九时正起恢复股份买卖。
