北方礦業(00433.HK)擬發行可換股票據、承兑票據及罰款票據集資約7.49億港元
格隆匯 12 月 22日丨北方礦業(00433.HK)宣佈，於2020年12月22日，公司與認購人訂立有關發行可換股票據、承兑票據及罰款票據的認購協議。
根據廣州基金國際認購協議，廣州基金國際已有條件同意認購而公司已有條件同意發行本金總額3.20億港元的廣州基金國際可換股票據，賦予廣州基金國際權利可按初步兑換價每股兑換股份0.016港元(可予調整)認購最多199.70億股兑換股份。
假設不再進一步發行或購回股份，而廣州基金國際可換股票據按初步兑換價悉數兑換，則將向廣州基金國際發行之兑換股份相當於公司於公佈日期的現有已發行股本約85.45%；及經根據廣州基金國際可換股票據配發及發行兑換股份擴大的公司已發行股本約46.08%。
根據華豚認購協議，華豚已有條件同意認購而公司已有條件同意發行本金總額4.29億港元的華豚可換股票據，賦予華豚權利可按初步兑換價每股兑換股份0.016港元(可予調整)認購最多268.25億股兑換股份。
假設不再進一步發行或購回股份，而華豚可換股票據按初步兑換價悉數兑換，則將向華豚發行的兑換股份相當於公司於公佈日期的現有已發行股本約114.78%；及(經根據華豚可換股票據配發及發行兑換股份擴大的公司已發行股本約53.44%。
於完成日期，公司亦將向認購人發行承兑票據及罰款票據，本金額將於完成時確定。
根據可換股票據的條款及條件，於按初步兑換價悉數兑換可換股票據後，公司將鬚髮行合共467.95億股兑換股份。董事會建議透過增設額外937.50億股股份，將公司法定股本由5億港元(分為312.50億股每股面值0.016港元的股份)增加至20億港元(分為1250億股每股面值0.016港元的股份)。
認購事項所得款項總額將約為7.49億港元。公司擬將認購事項之所得款項總額以及承兑票據及罰款票據的所得款項總額分配用作結付贖回金額。由於可換股票據、承兑票據及罰款票據項下的代價與贖回金額相互抵銷，集團將使用其內部資源以結付有關認購協議及其項下擬進行交易的應付開支。
