信德集團(00242.HK)擬9.28億元收購錦思發展30%股份及9.8億元出售PTH若干股份
格隆匯12月22日丨信德集團(00242.HK)發佈公告，於2020年12月22日，信德發展中國（公司全資附屬公司）與PHIG（鵬瑞利置地非全資附屬公司）訂立錦思發展協議，PHIG有條件同意出售錦思發展銷售股份及股東貸款，收購代價為人民幣9.28億元。錦思發展銷售股份（即300股錦思發展股份，佔已發行錦思發展股份總數的30%）將有權按比例分佔錦思發展的溢利及資產淨值，該公司間接全資擁有珠海項目公司珠海橫琴信德房地產開發有限公司，而珠海項目公司間接全資擁有橫琴發展項目，併為其發展商。
同日，崇新發展（公司全資附屬公司）、PCIH（鵬瑞利置地全資附屬公司）及SFHL訂立PTH協議，崇新發展分別有條件同意按出售代價I人民幣6.52億元出售PTH銷售股份（I即61,796股PTH股份）及按出售代價II人民幣3.26億元出售PTH銷售股份I（I即30,894股PTH股份）。
PTH銷售股份（I佔已發行PTH股份總數約25.8%及PTH銷售股份總數約66.7%）及PTH銷售股份I（I佔已發行PTH股份總數約12.9%及PTH銷售股份總數之約33.3%）各自有權按比例分佔PTH（透過通州項目公司（作為通州發展項目的發展商）持有通州發展項目的19.35%實際權益）的溢利及資產淨值。
據悉，橫琴發展項目指位於中國珠海橫琴新區的珠橫國土儲2013-04號宗地上將興建的綜合用途發展項目，包括辦公室、酒店、零售及公寓部分，地盤面積約為23,834平方米，建築面積約為135,659平方米（不包括公共區域、停車場及機電地庫區域）。
通州發展項目指位於中國北京通州區運河核心區的10、11及12號宗地上將興建的綜合用途發展項目，包括住宅、辦公室及零售物業，總建築面積約為368,625平方米，包括所有部分。
公司表示，橫琴發展項目為公司於中國的主要發展項目之一，透過其於錦思發展的股權用作綜合用途發展，該發展項目於2014年12月由珠海項目公司展開。橫琴區是廣東自由貿易試驗區及大灣區的一部分，明確專注於休閒旅遊、商業服務、金融服務、發展創新業務及文化創意，預期將與澳門的擴張相輔相成，共同為各類遊客打造全方位的生活方式及商務目的地。
橫琴發展項目毗鄰橫琴港，可直接連接橫琴與澳門之間邊境的港口及商業設施，位於交通樞紐，結合廣州及其他地區、珠海及澳門之多個鐵路網絡（規劃中）。公司相信，透過收購錦思發展的餘下30%股權，集團可全權酌情管理橫琴發展項目作為目標明確的綜合物業的發展，憑藉集團於中國及澳門的零售發展及資產管理、酒店管理、商業租賃、市場網絡及動態方面的行業專業知識及市場知識，儘量發揮其潛在價值，並透過引入辦公室、酒店、公寓及商業元素的綜合組合，充分利用樞紐交通。
通州發展項目自2013年起一直為集團的投資。公司相信，出售事項可讓集團變現通州發展項目的累計資本增值，並集中資源發展其現有的中國項目，以及發掘其他新潛在投資機會。
