存三項違規事項 衞星石化(002648.SZ)及相關責任人員被警示
格隆匯 12 月 21日丨衞星石化(002648.SZ)公佈，2020年12月18日，浙江衞星石化股份有限公司及相關責任人員收到中國證券監督管理委員會浙江監管局行政監管措施決定書《關於對浙江衞星石化股份有限公司及楊衞東、沈曉煒、王滿英採取出具警示函措施的決定》(【2020】106號)。原因系公司存在以下違規事項：
一、2018年7月，衞星石化與船東Delos Energy Transportation LLC(“原船東”)簽訂船舶期租協議，租期為15年，租金總額為15.53億美元，摺合人民幣104.08億元。當月，原船東與兩家造船公司簽訂6艘船舶建造合同。2019年1月，原船東未如期支付造船款，兩家造船公司因此取消造船合同。公司未實際執行上述期租協議，也未支付任何租金。公司遲至2020年8月11日才對外完整披露上述期租協議，存在未履行審議程序和信息披露義務的情形。
二、2019年3月，公司與上述兩家造船公司協商，由衞星石化設立六家香港子公司暫時承接上述造船合同，並墊付造船款項。造船合同總金額合計7.17億美元，摺合人民幣48.13億元。公司在2019年半年報中未準確披露已墊付的造船款，且遲至2020年6月29日才對外完整披露承接的造船合同，存在未履行審議程序和信息披露義務的情形。
三、衞星石化於2017年8月非公開發行股票籌集資金30億元。2018年5月30日至2019年3月5日期間，衞星石化使用部分閒置募集資金(最高額達2億元)循環購買了10筆結構性存款，累計金額12.50億元。公司使用閒置募集資金購買結構性存款的行為未履行公司審議程序和信息披露義務。
衞星石化的上述行為違反了《上市公司信息披露管理辦法》第二條、第三條、第三十條和《上市公司監管指引第2號—上市公司募集資金管理和使用的監管要求》第七條等規定。公司董事長兼總裁楊衞東、董事會祕書沈曉煒、財務負責人王滿英對上述問題負有主要責任，按照《上市公司信息披露管理辦法》第五十八條、第五十九條的規定，浙江證監局決定對公司及相關責任人員採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。
