*ST拉夏(603157.SH)：控股股東及一致行動人承諾鎖定股份
格隆匯 12 月 21日丨*ST拉夏(603157.SH)公佈，公司於近日收到控股股東邢加興及其一致行動人上海合夏投資有限公司(“上海合夏”)出具的《股份鎖定承諾函》，承諾情況如下：
“本人邢加興(以下簡稱“本人”)單獨持有新疆拉夏貝爾服飾股份有限公司(“公司”)141,874,425股，佔公司總股本的25.91%(本人及一致行動人上海合夏投資有限公司(“上海合夏”)合計持有公司股份187,078,815股，合計佔公司總股本34.16%)。
根據《公司法》、《公司章程》等法律法規及制度的規定，本人作為單獨持有公司25.91%股份的股東依法向董事會、監事會提請召開臨時股東大會。在《公司法》、《公司章程》規定的期限內，公司董事會和監事會均未對本人提請召開臨時股東大會的函進行回覆。本人依據《公司法》、《公司章程》的規定自行召集和主持公司2021年第一次臨時股東大會。本次會議將於2021年1月11日召開。本人根據《上海證券交易所股票上市規則》第8.2.5條規定，本人及上海合夏承諾：
本人承諾，自本次臨時股東大會通知發出之日起至本次臨時股東大會決議公告之日止，鎖定持有的公司141,874,425股股票，不主動減持該部分股份；若違反承諾擅自減持、違規轉讓公司股份的，擅自減持、違規轉讓所得歸公司所有，並承擔由此引發的一切法律責任。
上海合夏承諾，自本次臨時股東大會通知發出之日起至本次臨時股東大會決議公告之日止，鎖定持有的公司187,078,815股股票，不主動減持該部分股份；若違反承諾擅自減持、違規轉讓公司股份的，擅自減持、違規轉讓所得歸公司所有，並承擔由此引發的一切法律責任。”
截止公告披露日，公司控股股東、實際控制人邢加興及其一致行動人上海合夏合計持有的187,078,815股公司股份已全部被輪候凍結，若後續上述股份出現被強制過户的風險，可能會影響公司控制權的穩定。公司董事會將高度關注股東股份被凍結事項的進展情況，督促公司實際控制人及其一致行動人持續核實司法凍結的具體情況，嚴格按照相關法律、法規及規範性文件規定，及時履行信息披露義務。
