天齊鋰業(002466.SZ)：子公司3億元借款展期暨繼續為子公司提供擔保
格隆匯 12 月 21日丨天齊鋰業(002466.SZ)公佈，公司於2020年12月21日召開的第五屆董事會第十二次會議和第五屆監事會第十一次會議審議通過了《關於公司全資子公司借款展期暨繼續為全資子公司提供擔保的議案》。
為補充公司經營發展所需資金，公司全資子公司成都天齊鋰業有限公司(“成都天齊”)與四川省射洪縣國有資產經營管理集團有限公司(“射洪國資公司”)簽訂了編號為“SHGZJT-2019121901”的《借款合同》，向射洪國資公司申請借款3億元，借款期限1年。為保證該借款合同的順利實施，經公司第四屆董事會第三十八次會議、第四屆監事會第三十二次會議以及2020年第一次臨時股東大會審議通過，公司以公司持有的全資子公司四川天齊盛合鋰業有限公司(“盛合鋰業”)49%股權為本次借款提供質押擔保，並授權公司管理層在授權範圍內實施相關業務。具體內容詳見公司於2020年1月11日披露的《關於為全資子公司提供擔保的公告》。
經與借款方射洪國資公司協商一致，射洪國資公司同意在抵質押條件不變的前提下，將上述3億元借款到期日展期一年。根據《深圳證券交易所股票上市規則》及《公司章程》的有關規定，本次提供擔保展期需重新履行內部決策程序並提交公司股東大會審議。
公司擬繼續以所持有的盛合鋰業49%股權作為公司全資子公司成都天齊與射洪國資公司借款協議下相關債務的擔保，擔保的主債權的種類及數額與射洪國資公司依據主合同所享有的借款、本金、利息、罰息、違約金、逾期利息以及射洪國資公司實現債權的費用(包括但不限於律師費、評估費、拍賣費用、訴訟費用等)的種類及數額相同。具體質押範圍以公司與射洪國資公司協商簽訂的借款展期合同為準。
此次擔保事項為擔保展期，除擔保期限外，公司提供的保證和擔保財產範圍與展期前擔保協議一致。
截至公告披露日，公司對子公司以及子公司對子公司提供的擔保總額已超過最近一期經審計淨資產的100%，請投資者注意擔保風險，謹慎投資。
