江南化工(002226.SZ)：北方特種能源集團收購公司股權案獲國資委批覆
格隆匯12月20日丨江南化工(002226.SZ)公佈，公司控股股東盾安控股集團有限公司(以下簡稱"盾安控股")於2020年7月31日與浙商銀行股份有限公司杭州分行(以下簡稱"浙商銀行杭州分行")、北方特種能源集團有限公司(以下簡稱"特能集團")共同簽署了《股份轉讓協議》和《表決權委託協議》(以下合稱"交易協議")，公司控股股東盾安控股擬向特能集團轉讓其合計持有的公司187,347,254股股份(無限售條件)，佔公司總股本的15%(以下簡稱"標的股份")，股份轉讓價格為7元/股，總價款為1,311,430,778元人民幣。同時，盾安控股將所持江南化工187,222,356股限售股份(佔標的公司總股本14.99%)(以下簡稱"授權股份")所對應的全部表決權委託給特能集團。
2020年12月18日，中國兵器工業集團有限公司(以下簡稱"兵器工業集團")收到國務院國有資產監督管理委員會(以下簡稱"國務院國資委")出具的《關於北方特種能源集團有限公司收購安徽江南化工股份有限公司有關事項的批覆》(國資產權〔2020〕647號)。有關事項批覆如下：
1、原則同意特能集團通過受讓盾安控股集團有限公司所持江南化工18,734.7254萬股股份並接受表決權委託等方式取得江南化工控制權的整體方案。
2、請兵器工業集團按照36號令等有關規定，採取有效措施確保達成既定的收購目標，確保江南化工可持續發展；完善相關風險防範應對方案，切實防控相關風險；堅持聚焦主業開展相關業務，採取有效措施增強抗風險能力，確保國有資本安全和保值增值。
3、要以此次收購為契機，發揮戰略牽引力，加大相關領域研發投入，加強業務協同；落實主業管理相關要求，做好產業整合；探索實施更加市場化的差異化管控模式，保持江南化工活力、創新力，促進江南化工健康發展
