中油港燃(08132.HK)：已成立特別調查委員會及暫停戎長軍的執行董事職務
格隆匯 12 月 18日丨中油港燃(08132.HK)公佈，有關公司若干中國子公司(即江西中油港燃能源科技有限責任公司("江西中油")、舟山中油港燃石油化工有限公司("舟山中油")、江西港燃貿易有限公司("江西港燃")及吉林中油港燃能源開發有限公司("吉林中油"，連同江西中油、舟山中油及江西港燃統稱"取消綜合入賬子公司"))自2019年1月1日起自集團取消綜合入賬("子公司取消綜合入賬")，原因為未能就審核目的取得賬簿及記錄("遺失賬簿及記錄")。取消綜合入賬子公司主要從事集團的成品油及化工品貿易業務。
已於2020年12月18日根據一項董事會決議案成立特別調查委員會，成員初步包括全體獨立非執行董事，即朱健明、詹達堯、陳偉璋及車灝華，旨在(其中包括)調查多項導致及╱或另行與子公司取消綜合入賬相關的事項及事件，並就此作出報告。車灝華已獲委任為特別調查委員會主席。特別調查委員會亦可能會委任其他專業顧問以協助調查。
另宣佈，公司已於2020年12月18日就子公司取消綜合入賬委聘獨立專業公司誠駿法證及企業重整有限公司進行法證調查("法證調查")。法證調查工作範圍包括(其中包括)以下各項：(i)識別集團董事就遺失賬簿及記錄以及失去取消綜合入賬子公司控制權有否任何潛在違反受信責任；(ii)調查失去取消綜合入賬子公司控制權的成因；及(iii)在寄呈特別調查委員會的報告中呈報彼等有關項目(i)及(ii)的調查結果。、
另宣佈，其已議決(其中包括)暫停戎長軍的執行董事職務，自2020年12月18日起生效，直至另行通告，原因為戎先生於關鍵時刻就子公司取消綜合入賬潛在違反彼身為執行董事及江西中油董事的受信責任。具體而言，現時合理懷疑戎先生並無於相關期間促使江西中油及其員工妥善保存江西中油及江西中油全資子公司舟山中油的賬簿，及╱或就截至2019年3月31日止年度的年度審核向集團提供有關會計記錄。
此外，公司股份繼續停牌。
