金川國際(02362.HK)：Musonoi項目獲3.50億美元有期貸款融資
格隆匯 12 月 18日丨金川國際(02362.HK)宣佈，於2020年12月18日，公司一間非全資附屬公司及Musonoi項目的持有人Ruashi Mining SAS(作為借款人)("Ruashi")與國開行甘肅省分行(作為貸款人)訂立一項融資協議，內容有關金額為3.50億美元的有期貸款融資("Ruashi融資協議")為Musonoi項目的發展及建設融資。有期貸款融資之最後還款日期將為首次動用該筆融資當日起計十年，而該筆融資須於Ruashi融資協議日期起計48個月之內動用。
同日，金川：(1)與國開行甘肅省分行訂立一項擔保協議("Ruashi擔保")，據此，金川以國開行甘肅省分行為受益人提供公司擔保，作為根據Ruashi融資協議授出有期貸款融資的抵押；
(2)與Ruashi訂立一項協議("有關Ruashi擔保之擔保費協議")，據此，只要Ruashi擔保將維持生效及存續，Ruashi將向金川支付根據Ruashi融資協議項下有期貸款融資未償還金額每年0.5%計算之擔保費。擔保費須於每季度季末支付；及
(3)與公司一間非全資附屬公司KinsendaCopperCompanySA("Kinsenda")訂立一項協議，據此，只要金川提供之擔保將維持生效及存續，Kinsenda將自2020年12月18日起直至完全履行Kinsenda融資協議(止，向金川支付根據Kinsenda融資協議項下有期貸款融資未償還金額每年0.5%計算之擔保費。擔保費須於每季度季末支付。
Kinsenda擔保由金川以國家開發銀行股份有限公司(現稱為國開行)為受益人結合Kinsenda融資協議而提供。根據Kinsenda擔保，金川以國開行為受益人提供公司擔保，作為根據Kinsenda(作為借款人)、金川(作為擔保人)及國開行(作為貸款人)就金額為2.25億美元之有期貸款融資所訂立的日期為2014年5月29日的Kinsenda融資協議(經日期為2018年6月4日之修訂協議所修訂)(統稱"Kinsenda融資協議")授出有期貸款融資之抵押。有期貸款融資之最終還款日期將為自該融資首次提取日期起滿十年之日期。於2020年11月30日，未償還本金額為9600萬美元。
