馬鋼股份(600808.SH):合肥公司2020年確認資產處置收益約5.74億元

格隆匯12月18日丨馬鋼股份(600808.SH)公佈,隨着國家對環境污染和治理問題日益重視,公司持股71%的控股子公司馬鋼(合肥)鋼鐵有限責任公司(“合肥公司”)為淘汰落後產能、實現轉型發展,與合肥市土地儲備中心於2014年2月28日簽署《合肥市國有建設用地使用權收回合同》,約定:合肥市土地儲備中心收回合肥公司位於合肥市瑤海區的3377.9畝土地,及地上部分建(構)築物;合肥市土地儲備中心分四期向合肥公司支付不低於12億元補償費(具體數額以評估價格的備案審核結果為準)。

根據合資格的土地、房產及工程造價評估機構之評估,合肥公司與合肥市土地儲備中心於2014年12月25日確定補償費為人民幣12.38億元。根據《合同》,合肥公司於2014年分三批收到補償費共約人民幣9.6億元。交付前,合肥公司發現存在一些歷史遺留問題,如土地被佔用、與肥東縣存在土地權屬爭議、廠房及設施拆除工作難度大等問題難以解決,導致約定收儲土地未能按時交付,補償費尾款亦未能按時到賬。對此,合肥公司、合肥市土地儲備中心互予諒解。按照地面設備、房產或構築物等處理情況,合肥公司於2014年及2018年、2019年,分別確認資產處置收益約人民幣2.24億元、0.31億元、0.04億元,公司相關年度財務報告已經相關年度審計師審計。

近期,合肥公司與合肥市土地儲備中心進一步約定:因土地權屬爭議土地收儲面積由原3377.9畝調整為3370.57畝(核減7.33畝);《合同》項下合肥公司向合肥市土地儲備中心淨地交付土地涉及的“收回土地涉及重大環境污染的須經治理後並徵得環保部門書面認可”,按照合肥市政府的批示,調整為“由市土地儲備中心負責實施土壤無害化修復。相關調查評估和治理修復費用,經審計後納入土地收儲成本”;交地標準為按現狀完成土地移交;合肥公司出資人民幣1000萬元與合肥東部新中心建設管理辦公室(“東管辦”)設資金共管賬户,資金專項用於該等收儲土地範圍內部分房屋被佔用問題和圍牆封閉等未盡事宜;合肥市土地儲備中心負責於2020年12月31日前支付補償費尾款約人民幣2.78億元。同時,合肥公司與合肥市土地儲備中心、東管辦簽署《土地管護移交協議》,約定儲備土地管護工作移交及儲備土地以現狀移交。至此,合肥公司已完成全部約定收儲土地的移交,並於近日收到補償費尾款約人民幣2.78億元。

根據合肥公司及公司財務部門初步測算,就合肥公司移交約定收儲土地事項,在考慮資產處置成本(即約定土地收儲成本)後,合肥公司將在2020年確認資產處置收益約人民幣5.74億元。
