和晶科技(300279.SZ)：擬對子公司晶安智慧及孫公司思宏安持股主體進行內部調整
格隆匯 12 月 18日丨和晶科技(300279.SZ)公佈，公司根據整體戰略規劃，對控股子公司無錫晶安智慧科技有限公司(“晶安智慧”)的持股主體與參股孫公司北京思宏安信息科技有限公司(“思宏安”)的持股主體進行內部調整，此次交易完成後，公司的合併報表範圍不會發生變化。具體如下：
1)公司將持有的晶安智慧87.94%股權轉讓予公司全資子公司江蘇中科新瑞科技股份有限公司(“中科新瑞”)，轉讓價格為2700萬元(幣種：人民幣，下同)，交易完成後，公司不再持有晶安智慧股權，中科新瑞持有晶安智慧87.94%股權；
2)公司全子公司中科新瑞將其持有的北京思宏安信息科技有限公司(“思宏安”)45.10%股權轉讓予公司全資子公司北京和晶宏智產業投資有限公司(“和晶宏智”)，轉讓價格為2792萬元，交易完成後，中科新瑞不再持有思宏安股權，和晶宏智持有思宏安45.10%股權。
公司物聯網業務板塊在智能信息化業務方面，主要包括智慧城市下的系統集成業務、智慧安全業務，其中系統集成業務的主要運營主體為中科新瑞，其主要服務於政府、教育、醫療、安平等行業，為各類企事業單位客户提供信息化服務；智慧安全業務的主要運營主體為晶安智慧，其通過平台業務、產品服務、專家服務為行業監管部門、社會單位及第三方機構提供基於物聯網應用的多級安全監管服務平台，助力單位實現安全管理智慧化升級。思宏安是一家提供專業化電力安全應急產品和應急管理諮詢服務的企業，致力於構建科學規範高效的電力安全應急服務支撐平台，產品已逐步推廣應用至各主要電力企業。根據中科新瑞、晶安智慧、思宏安在業務特性、客户羣體等方面的各自屬性及特徵，中科新瑞與晶安智慧具有更高的協同性，思宏安的獨立性更強。
為更好地推動各子公司之間的協同發展，公司在股權架構層面進行了此次內部調整，由中科新瑞持有與其業務協同性更高的晶安智慧股權，由公司的產業投資平台和晶宏智持有業務獨立性更強的思宏安股權，進而優化公司的整體佈局。此次調整事項有利於推動公司物聯網業務板塊的協同發展，符合公司的整體戰略規劃，不存在損害公司和股東利益的情形。
