海航投資(000616.SZ)：北京養正擬簽訂租賃合同
格隆匯 12 月 17日丨海航投資(000616.SZ)公佈，海航投資全資子公司北京養正投資有限公司(“北京養正”)擬與海南興隆温泉康樂園有限公司(“海南興隆温泉”)、杭州華庭雲棲度假酒店有限公司(“杭州華庭雲棲”)、昆明揚子江置業有限公司(“昆明揚子江置業”)及蘇州飯店有限責任公司(“蘇州飯店”)簽訂租賃合同，租賃海南興隆温泉、杭州華庭雲棲、昆明揚子江置業、蘇州飯店分別持有的海南康樂園海航度假酒店、杭州華庭雲棲度假酒店、昆明皇冠假日酒店、蘇州飯店部分區域，租期15年，整個15年租賃期限涉及的整體租賃費用為82620萬元，租金按年度支付，年租金合計5508萬元。根據租賃協議約定，協議生效後北京養正需一次性支付4家酒店首年租金5508萬元,租賃保證金5508萬元，裝修保證金2100萬元。公司此次養老產業佈局，順應政策導向，符合市場趨勢，將憑藉自身優勢將公司養老業務駛入快車道，有助於公司未來持續發展。
公司與海南興隆温泉康樂園有限公司、杭州華庭雲棲度假酒店有限公司、海南新國賓館有限公司及蘇州飯店有限責任公司屬同一實際控制人海南省慈航公益基金會間接控制的企業，根據《深圳證券交易所股票上市規則》的規定，本次交易構成關聯交易。
北京養正投資有限公司是公司搭建的醫養投資和運營平台，為公司全資子公司，具有持續經營能力和履約能力。北京養正目前主要以“和悦家”品牌運營旗下持有的北京石景山養老項目-和悦家國際頤養社區。該項目充分得到北京市政府及當地政府認可，為首批石景山區長期護理保險定點機構。和悦家國際頤養社區先後獲得“北京市養老機構二星等級”、“北京市健康食堂”、“和悦家餐飲3星A級安全量化等級牌”、“2019年度中國養老行業影響力品牌”等多項殊榮，已成為北京市中高端養老機構的代表性和標杆性品牌。北京養正通過近年穩步發展，充分吸取全球知名養老品牌的投資、運營經驗，形成了自身獨特、符合市場需求的醫養健康產業運營管理理念，“和悦家”品牌已具有可複製性和推廣性。此次養老租賃合同的簽署，將帶動公司養老產業實現快速發展，以城市型養老機構和旅居型養老機構等多種模式的運營，佈局全國，多點聯動，提升公司養老產業核心競爭力、“和悦家”品牌市場影響力，助力公司未來良好持續發展。
