世紀華通(002602.SZ)：將增持上海瓏睿的股權
格隆匯 12 月 17日丨世紀華通(002602.SZ)公佈，2020年12月16日，寧波融訊與華通創投簽署《無錫世紀七道智慧雲實業投資合夥企業(有限合夥)合夥份額轉讓協議》，寧波融訊向華通創投轉讓其所持智慧雲實業2億元出資額(佔智慧雲實業出資總額的2.17%)；華通創投受讓寧波融訊所持智慧雲實業2億元出資額。同日，智慧雲實業合夥人會議決議通過上述合夥份額轉讓事項，寧波融訊退出合夥企業。
根據上述安排，此次出資份額轉讓完成後，智慧雲實業的具體出資結構安排將如下所示：
根據智慧雲實業與上海瓏睿之股東方上海智榿嵐企業管理合夥企業(有限合夥)(“智榿嵐”)分別於2020年6月15日及2020年7月28日簽署的《股權轉讓協議》，智榿嵐將上海瓏睿合計32444.44萬元出資額(佔當時註冊資本的32.44%)轉讓給智慧雲實業。上海瓏睿已分別於2020年6月15日及2020年7月28日召開股東會，全體股東審議通過：1、同意智榿嵐將上海瓏睿合計32444.44萬元出資額(佔註冊資本的32.44%)轉讓給智慧雲實業；2、將上海瓏睿10000萬元出資額(佔當時註冊資本的10.00%)轉讓給新理益集團有限公司(“新理益”)；3、將上海瓏睿2000萬元出資額(佔當時註冊資本2.00%)轉讓給深圳第七大道科技有限公司；4、上海瓏睿其他股東同意放棄前述股權轉讓及增資的優先購買權和優先認購權；5、上海瓏睿註冊資本由100000萬元增加至143055.55萬元，其中智慧雲實業認購新增註冊資本34444.44萬元，上海吉六零瓏爍企業管理合夥企業(有限合夥)(“吉六零”)認繳新增註冊資本8611.11萬元。
上述股權轉讓及增資事項完成後上海瓏睿股權結構如下：
2020年12月16日，華通創投與新理益簽署《上海瓏睿信息科技有限公司股權轉讓協議》，由華通創投受讓新理益持有的上海瓏睿1億元出資額(佔註冊資本比例為6.99%)。同日，上海瓏睿股東會決議通過上述出資份額轉讓事項，轉讓完成後上海瓏睿股權結構如下：
通過此次對外投資，公司將增持上海瓏睿的股權，有利於公司充分整合資源。公司與上海瓏睿在運營和管理經驗以及資源要素等方面產生協同效應，有利於公司擴大綜合競爭力與影響力，為公司在數字化新基建方面奠定堅實基礎，拓寬長期發展的產業空間，並贏取新的利潤增長點，進一步提升公司的長期可持續發展能力、增強抗風險能力。
