高門集團(08412.HK)獲施清流及王鉅成折讓55.06%提收購要約 明日復牌
格隆匯 12 月 17日丨高門集團(08412.HK)公告，於2020年12月14日，Aplus Concept及Phoenix Year(作為賣方)、吳繩祖(作為擔保人)與施清流及王鉅成(作為買方)訂立買賣協議，據此，(i)Aplus Concept已同意出售且施已同意購買銷售股份1；及(ii)Phoenix Year已同意出售且王已同意購買銷售股份2，總代價為4245.6萬港元(相等於每股銷售股份0.08港元)。銷售股份1及銷售股份2合共5.3億股股份(約佔公司於聯合公告日期的全部已發行股本的55.28%。
完成於緊隨買賣協議於2020年12月14日簽署後落實。
緊接完成前，要約人及其一致行動人士(包括王)並無擁有、控制或對公司的任何股份或其他相關證券(定義見收購守則規則22附註4)有酌情權。緊隨完成後及於聯合公告日期，要約人及其一致行動人士(包括王)於合共530,700,000股股份(約佔公司的全部已發行股的55.28%)中擁有權益。根據收購守則規則26.1，於完成後，要約人須對所有已發行股份(要約人及其一致行動人士(包括王)已擁有或同意將予收購的股份除外)發出強制性無條件全面現金要約。
每股要約股份0.08港元的要約價較12月14日收市價每股股份0.178港元折讓約55.06%。
經獨立董事委員會批准，公司已委任八方金融擔任獨立財務顧問，以就要約(尤其是關於要約是否公平合理及應否接納要約)向獨立董事委員會提供建議。
應公司要求，股份自2020年12月15日上午九時正起於聯交所停止買賣，以待發布聯合公告。公司已向聯交所申請自2020年12月18日上午九時正起恢復股份於聯交所的買賣。
施清流，銅紫荊星章，太平紳士，一位經驗豐富的投資者，現為中國普甜食品控股有限公司(股份代號：1699)、信陽毛尖集團有限公司(股份代號：362)及耀萊集團有限公司(股份代號：970)股東，其所持超過5%股權須根據證券及期貨條例作出披露。
此外，施清流現為隆誠國際(集團)有限公司(主要從事再生塑料製品貿易)董事長、全國政協委員及香港福建社團聯會副主席。施在金融及投資領域有豐富的經驗，擁有多元化的個人投資組合。因此，施決定投資於餐飲業務，以進一步擴大其投資範圍。
王鉅成持有香港大學文學士學位。彼於金融及投資領域累積逾20年豐富經驗，熟諳國際投資市場。彼目前擔任中國信息科技發展有限公司(股份代號：8178)主席兼行政總裁、富元國際集團有限公司(股份代號：542)非執行董事及遠東控股國際有限公司(股份代號：36)獨立非執行董事。如以上所披露，王於金融及投資領域以及上市公司公司和業務管理方面積累豐富經驗。王已審慎評估其現有業務及投資組合，決定投資於餐飲業務，藉此豐富其投資類別及分散投資組合投資風險。
