中芯國際：最近比較煩！比較煩！比較煩！

最近無論是中芯國際，還是持有中芯的股民，應該都比較煩。
近段時間，中芯國際進入"多事之秋"，內訌外擾都有，二級市場的股價也再度進入"跌跌"模式，較年中高位腰斬過半，而同行業的華虹半導體則跟隨行業景氣度，股價維持在高位。
內 訌
中芯國際被爆內訌，聯席CEO樑孟鬆請辭
據中芯國際發表的公告，蔣尚義獲委任爲中芯國際董事會副董事長、第二類執行董事及戰略委員會成員，其任期自2020年12月15日起至2021年股東周年大會爲止。
這位臺積電前COO又重新回到中芯國際任職，有權根據聘用合約獲得年度固定現金酬金67萬美元及年度激勵。
騰訊新聞報道稱，對於蔣尚義的任職，中芯國際聯席CEO樑孟鬆無理由投棄權票，隨後被曝在董事會上提出了辭職，理由是非常的“錯愕與不解”，覺得“已經不再被尊重與不被信任”。
中芯國際的公告中沒有對樑孟鬆是否離職進行說明，據業界消息，中芯國際董事長周子學並未當場在董事會上批準樑孟鬆的辭職。
根據網傳的樑孟鬆辭職聲明內容，樑孟鬆自2017年11月擔任中芯國際聯席CEO至今已有三年多，幾乎從未休假，在其帶領的2000多位工程師的盡心竭力的努力下，完成了中芯國際從28nm到7nm工藝的五個世代的技術開發。樑孟鬆強調，這是一般公司需要花10年以上時間才能才能完成的任務。
中芯國際隨後也另外發布公告，表示已知悉樑博士其有條件辭任的意願，正積極與樑博士覈實其真實辭任之意願，任何關於上述事宜的進一步公告將根據《香港聯合交易所有限公司證券上市規則》及《上海證券交易所科創板股票上市規則》適時作出。
外 擾
在美國面臨集體訴訟風險，被多個指數剔除
路透報道，據中芯國際週二晚間的公告指，關注到一份於美國時間12月10日在美國加利福尼亞中區聯邦地區法院提交關於公司部分證券的民事訴狀。該訴狀的原告代表其本人和其他聲稱在美國證券交易場外市場購買了公司部分證券的人士提起了訴訟，但前提是美國法院須允許該案件以集體訴訟的形式進行。
該訴狀將中芯國際及部分董事列爲被告，指稱公司發佈的某些陳述或文件違反1934年美國證券交易法第10(b)項和第20(a)項及美國證券交易委員會據此公佈的第10b-5規則的規定（該規定禁止與買賣證券相關的某些失實陳述及遺漏），並尋求未確定金額的經濟補償。
中芯國際表示，“公司正在謹慎評估以上事宜，並將作出積極抗辯。”
美國特朗普政府本月初將中芯國際和中國海洋石油加入了所謂黑名單後，標普道瓊斯、納斯達克以及MSCI明晟已先後宣佈將相關企業股份剔除。
