兗州煤業股份(01171.HK)：境外控股子公司進行債券融資重新將沃特崗綜合入賬
格隆匯 12 月 16日丨兗州煤業股份(01171.HK)宣佈，Watagan Mining Company Pty Ltd 及其附屬公司(統稱"沃特崗")自 2020 年12月16日起重新被納入公司附屬公司兗州煤業澳大利亞有限公司("兗煤澳洲公司")合併報表範圍，並由兗煤澳洲公司將其納入交叉擔保。
2019年1月4日，一名債券持有人通知沃特崗及兗礦集團行使對2億美元沃特崗債券的認沽期權。兗礦集團於2019年4月1日購買了該債券，成為該債券的持有人。
2020年12月16日，兗礦集團、兗煤澳洲公司、沃特崗及債券持有人簽署系列補充協議，約定剩餘兩名債券持有人在上述協議簽署後行使認沽期權，由兗礦集團或其指定主體回購其持有的5.75億美元沃特崗債券("可賣回債券")，進而成為沃特崗債券唯一持有人。根據相關補充協議的約定，債券持有人提名的沃特崗董事將自債券持有人行使認沽期權之日起辭職，同時兗煤澳洲公司重新取得委任1名或多名董事的權利。
因此，根據前述安排，兗礦集團作為沃特崗債券唯一持有人無法委任董事，兗煤澳洲獲得對沃特崗董事會的控制權，取得對沃特崗主要運營及戰略決策權。沃特崗自2020年12月16日起重新被納入兗煤澳洲公司合併報表範圍，並由兗煤澳洲公司將其納入交叉擔保。兗礦集團不會任何可賣回債券項下的擔保、抵押或其他權利。2020年12月16日，兗礦集團與兗煤澳洲公司簽署《再融資協議》("再融資協議")，約定兗礦集團向兗煤澳洲公司提供7.75億美元貸款("新兗礦貸款")，期限為六年。新兗礦貸款利率水平前36個月為4.65%(即新兗礦貸款協議簽訂時同期全國銀行間同業拆借中心公佈的五年期貸款市場報價利率，以下簡稱"五年期LPR")、後36個月利率水平為屆時同期五年期LPR。
根據再融資協議及相關協議的約定，兗煤澳洲公司在取得新兗礦貸款後將把該等資金提供給沃特崗專項用於沃特崗贖回兗礦集團或其指定主體持有的7.75億美元沃特崗債券。
