在信息披露方面存在問題 榮豐控股(000668.SZ)收警示函
格隆匯12月16日丨榮豐控股(000668.SZ)公佈，公司於2020年12月15日收到上海證監局《關於對榮豐控股集團股份有限公司採取出具警示函措施的決定》。經上海證監局查實：
1. 2019年12月2日，公司與馬鞍山農商行簽訂《商業承兑匯票貼現協議》，馬鞍山農商行向公司提供商業承兑匯票貼現業務，額度不超過4億元人民幣，佔公司最近一期(2018年)經審計淨資產的47.12%。公司代理財務總監為馬鞍山農商行董事，上述事項構成關聯交易。但公司直到2020年4月23日和2020年5月15日才分別召開董事會和股東大會補充審議上述事項，並於2020年4月25日補充披露。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條第一款、第三十條第一款和第四十八條的規定。
2. 2018年2月12日，公司披露《關於與關聯方擬聯合收購Ethniki Hellenic General Insurance S.A.股權的意向性公告》，擬與關聯方上海宮保商務諮詢有限公司(簡稱“上海宮保”)作為聯合體收購National Bank of Greece(簡稱“NBG”)全資保險子公司Ethniki Hellenic General Insurance S.A.不低於75%股權。2018年2月27日，公司披露《關於與關聯方擬聯合收購Ethniki Hellenic General Insurance S.A.股權的意向性公告(更新後)》《關於與關聯方擬聯合收購Ethniki股權的補充公告》，對2018年2月12日披露的部分內容進行補充。2018年5月3日，公司披露《關於與關聯方擬聯合收購Ethniki Hellenic General Insurance S.A.股權的進展公告》，稱上海宮保於北京時間本年5月1日收到賣方NBG財務顧問高盛及摩根士丹利之通知函，正式獲邀作為兩家競標者之一參與新一輪投標。
經查，2018年6月7日，上海宮保向賣方NBG遞交了約束性報價函。2018年10月17日，公司董事長代表上海宮保收到NBG的信件。根據信件內容，由於上海宮保未能滿足NBG提出的相關條件，NBG董事會決定終止與上海宮保就收購Ethniki Hellenic General InsuranceS.A.展開進一步討論。但公司至今未披露收購Ethniki Hellenic General Insurance S.A.的上述進展情況。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條第一款和第三十二條的規定。
3. 2019年1月1日至2019年10月28日，公司控股子公司北京榮豐房地產開發有限公司、榮控實業投資有限公司以自有資金購買理財產品累計達1.15億元，佔公司最近一期(2018年)經審計淨資產的13.55%。公司未在購買理財產品累計達到公司最近一期經審計淨資產10%時及時披露，且未在2019年年報中披露報告期內委託理財的發生情況。
上述行為不符合《公開發行證券的公司信息披露內容與格式準則第2號-年度報告的內容與格式(2017年修訂)》(證監會公告〔2017〕17號)第四十一條第一款第三項的規定，違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條第一款、第二十一條第十項、第三十條第一款和第二款第二項、第三十三條第一款的規定。
