雲想科技(02131.HK)香港發售獲114.45倍認購 發售價定為6.98港元/股
格隆匯 12 月 16日丨雲想科技(02131.HK)發佈公告，公司全球發售2億股股份，其中香港發售股份1億股，國際發售股份1億股，另有15%超額配股權；發售價已釐定為每股發售股份6.98港元，每手買賣單位1000股；海通國際為獨家保薦人，預期股份將於2020年12月17日於聯交所主板掛牌上市。
國際發售項下初步提呈發售的發售股份反應理想，已獲超額認購。合共11.466億股發售股份已獲認購，相當於國際發售項下初步可供認購發售股份的約6.37倍。香港公開發售合共接獲158,799份有效申請，合共認購22.889億股香港發售股份，相當於香港公開發售項下初步可供認購香港發售股份總數的約114.45倍。
按發售價每股發售股份6.98港元計算，根據與基石投資者的基石投資協議，AHAM、匯豐環球投資管理(香港)、太平洋資產管理、小苗基金、Green Better及SensePower Management各自已分別認購2220.8萬股、555.2萬股、555.2萬股、444.1萬股、333.1萬股及222萬股，合共4330.4萬股發售股份，合共佔緊隨全球發售完成後公司已發行股本約5.41%；及全球發售項下發售股份數目的約21.654%(假設超額配股權未獲行使)。
按發售價每股發售股份6.98港元計算，公司將自全球發售收取的所得款項淨額估計約為12.934億港元。公司將不會獲得任何行使超額配股權的所得款項淨額。超額配股權授予人可能被要求出售最多合共3000萬股股份。倘超額配股權獲悉數行使，則超額配股權授予人將獲得的所得款項淨額將約為2.01億港元(按最終發售價計算)。其中，全球發售所得款項淨額約12.3%預期將用於加強其研發能力(尤其是機器學習及AI能力)及改善其資訊科技基建；約51.9%預期將用於透過提升與現有媒體合作伙伴的關係，擴大廣告主及媒體合作伙伴羣以及達致多元化收入資源擴張業務；約25.8%預期將用作尋求上下游行業參與者的策略投資與收購機會，當中會考慮目標公司的潛在業務增長、往績記錄、行業聲譽、先進技術、用户流量、內容製作能力以及公司預期將實現的協同效應；及約10.0%將用作營運資金及一般企業用途。
