大豪科技(603025.SH)提示風險：重組存在可能被暫停、中止或取消的風險
格隆匯 12 月 15日丨大豪科技(603025.SH)公佈，公司股票於2020年12月8日復牌以來連續6日漲停，股票價格近期波動較大，特別提醒廣大投資者注意二級市場交易風險，理性決策審慎投資。
一、本次交易可能被暫停、中止或取消的風險
2020年12月7日，公司第四屆董事會第三次臨時會議審議通過了《關於公司<發行股份及支付現金購買資產並募集配套資金暨關聯交易預案>及其摘要的議案》等關於本次交易相關的議案。具體內容詳見公司於2020年12月8日在上海證券交易所網站等媒體披露的相關公告。
本次交易標的資產的審計、評估工作尚未完成，標的資產經審計的財務數據、備案的評估結果可能與預案披露情況存在較大差異。
本次交易尚需提交公司股東大會審議，並經有權監管機構批准後方可正式實施，能否通過審批尚存在一定的不確定性，以及最終獲得相關批准或核准的時間均存在不確定性。
根據《關於加強與上市公司重大資產重組相關股票異常交易監管的通知》規定，如公司重大資產重組事項停牌前股票交易存在明顯異常，可能存在涉嫌內幕交易被立案調查，導致本次重大資產重組被暫停、被終止的風險。
二、公司業績下滑的風險
公司2019年營業收入和歸屬於母公司淨利潤較上年同期分別下滑9.48%和31.30 %；公司2020年前三季度營業收入和歸屬於母公司淨利潤較上年同期分別下滑24.36%和43.36%。
三、二級市場交易風險
公司股價近期漲幅較大，靜態市盈率已56.03，動態市盈率已達87.02，已經高於證監會行業分類計算機、通信和其他電子信息設備製造業平均市盈率72.33。市場敬請廣大投資者理性投資，注意二級市場交易風險。
四、重組後業務整合風險
(一)業務整合風險
本次交易前，上市公司主要業務為各類智能裝備的擁有完全自主知識產權電腦控制系統的研發、生產和銷售。通過本次交易，上市公司將獲得資產管理公司及紅星股份的控股權，業務範圍將增加白酒、食品及飲料等業務。業務整合與協同的難度將有所提高。上市公司能否順利實現上述業務的整合，存在一定的不確定性，提請投資者注意相關風險。
(二)業績波動風險
標的公司所處的白酒、食品及飲料行業品牌競爭激烈，若未來市場競爭加大，標的公司如不能適應未來的競爭環境等因素，可能會導致標的公司的經營狀況不及預期，大豪科技可能出現營業收入下降、甚至利潤大幅下滑的情況，提請投資者注意相關風險。
