注資+收購，水發興業能源(00750.HK)擬控股江西亞興建設
格隆匯 12 月 15日丨水發興業能源(00750.HK)公佈，於2020年12月15日，公司間接全資附屬珠海興業綠色建築科技有限公司作為投資者已與目標股東(包括餘南暉、李鵬及陳晨)及目標公司江西亞興建設有限公司訂立注資協議，據此，投資者已有條件同意向目標公司作出人民幣1990萬元的注資。於注資後，目標公司的註冊資本將增加人民幣1123萬元，而人民幣867萬元應入賬列作目標公司的預留資金。
作為注資計劃的一部分，為促進關於目標公司的投資，投資者已於2020年12月15日與各目標股東訂立收購協議，據此，投資者將以零代價收購目標公司合共40％的股權。投資者亦將繳付收購協議項下與被其收購的目標公司40%的股權相對應的目標公司人民幣2000萬元的未繳資本。
待收購事項及注資完成後，投資者將持有目標公司51%股權，目標公司將成為公司的附屬公司，其財務報表將合併至集團的財務報表中。
據悉，目標公司為一間根據中國法律成立的有限責任公司，主要從事土木工程、市政工程、室內外建築、電力設備安裝工程、園林綠化、道路建設、土方工程、橋樑建築及金屬結構建築。
公告稱，水發能源於2019年11月下旬完成其作為公司大股東的清洗豁免交易，並於2019年12月完成債務重組計劃後，公司一直在探索集團擴大綠色建築及清潔能源業務並加強其財務業績的方式。誠如其於2019年年報中所述，公司計劃在已建立的太陽能、風能及儲能業務背景下，開拓更廣泛的清潔能源領域，並發展其他形式的清潔能源業務(如天然氣、供熱及氫能)並最終發展成為具有多種能力及優勢互補的清潔能源產業集羣。
董事會認為，收購事項及注資將使集團的經營範圍多元化，併為集團的綠色建築及幕牆業務產生協同效應，提升集團的競爭力。收購事項及注資亦符合集團加強財務業績的戰略，乃由於收購目標公司股權將使集團實現收入來源多元化。
